Refund & Withdrawal Policy

Refund & Withdrawal Policy

1. PURPOSE OF THIS POLICY

1.1 Purpose of the Policy

This Refund & Withdrawal Policy establishes the rules, conditions, limitations and procedures governing withdrawal rights, refund requests, chargebacks, payment disputes and related matters arising from purchases made through the Block2Learn Platform.

The purpose of this Policy is to provide transparency regarding the treatment of Digital Products, Memberships, Subscriptions, Learning Path products, Framework products, Dashboards and other digital services made available through the Platform.

This Policy further clarifies the circumstances under which withdrawal rights may apply, the circumstances under which refunds may not be available, the procedures applicable to refund requests and the rights and obligations of both the Customer and Block2Learn in connection with purchases of Digital Products and Digital Services.

Nothing in this Policy shall be interpreted as limiting rights that cannot be limited under mandatory applicable law.

1.2 Scope of Application

This Policy applies to all purchases, transactions, Digital Products, Memberships, Subscriptions, Learning Paths, Framework products, Dashboards, educational resources, digital services and future digital offerings made available through the Platform.

This Policy applies to all Customers regardless of country of residence, nationality, location, payment method, device used, account type or manner of access.

The provisions contained herein shall govern all refund related matters unless otherwise required by mandatory applicable law.

Where a product specific refund rule exists, such rule shall supplement this Policy without replacing it.

1.3 Relationship with Terms of Service

This Policy forms part of the broader Block2Learn legal framework and shall be interpreted together with the Terms of Service.

The Terms of Service constitute the primary governing agreement applicable to the Platform and all related services.

In the event of a conflict between this Policy and the Terms of Service, the Terms of Service shall prevail except where this Policy expressly governs a refund, withdrawal or chargeback related matter in greater detail.

Nothing contained in this Policy shall be interpreted as limiting rights, protections, disclaimers, liability limitations, intellectual property protections or enforcement rights established under the Terms of Service.

1.4 Relationship with Digital Products Sales Agreement

This Policy shall be interpreted together with the Digital Products Sales Agreement.

The Digital Products Sales Agreement governs the purchase, delivery, activation, licensing, access and use of Digital Products offered through the Platform.

This Policy supplements the Digital Products Sales Agreement by establishing additional rules relating to withdrawal rights, refund eligibility, refund limitations, chargeback procedures and payment dispute procedures.

The Customer acknowledges that acceptance of the Digital Products Sales Agreement constitutes an essential part of the contractual framework governing refund and withdrawal related matters.

1.5 Relationship with Other Policies

This Policy may operate together with other policies, agreements, notices and legal documents published by Block2Learn from time to time.

Such documents may include the Membership and Subscription Policy, Learning Path Policy, Intellectual Property Policy, Account and Acceptable Use Policy, Financial Disclaimer and Risk Disclosure, Privacy Policy, Cookie Policy and other applicable legal documents.

Where multiple documents apply to a particular matter, they shall be interpreted together to the maximum extent possible.

1.6 Binding Nature of this Policy

This Policy constitutes a legally binding part of the contractual relationship between the Customer and Block2Learn.

By completing a purchase, creating an account, activating a Membership, activating a Subscription, accessing a Learning Path, accessing a Framework, accessing a Dashboard or otherwise obtaining access to a Digital Product, the Customer agrees to be bound by this Policy.

The Customer further acknowledges that acceptance of this Policy may occur through electronic means, including checkout confirmations, account registrations, access activations, acceptance checkboxes, digital acknowledgements and other forms of electronic consent permitted by applicable law.

1.7 Integrated Legal Framework

The Customer acknowledges that this Policy does not operate independently.

This Policy forms part of an integrated legal framework governing the relationship between the Customer and Block2Learn.

The Customer further acknowledges that refund rights, withdrawal rights, chargeback rights, payment obligations, access rights, intellectual property rights, account rights and related obligations must be evaluated in the context of the entire Block2Learn legal framework and not solely by reference to isolated provisions of this Policy.

Accordingly, this Policy shall be interpreted together with all applicable contractual documents governing the Platform and its services.

2. DEFINITIONS

2.1 Block2Learn

For purposes of this Policy, “Block2Learn” means the Block2Learn platform, website, educational ecosystem, Learning Path ecosystem, Framework ecosystem, digital infrastructure, products, services, memberships, subscriptions, educational resources, research resources, software components, dashboards, tools, future digital offerings and all related activities operated under the Block2Learn name.

Where the context requires, Block2Learn may also refer to the current operator of the Platform, any future operator, successor entity, assignee, affiliated entity, corporate vehicle, acquiring entity or lawful successor responsible for operating all or part of the Platform.

The Customer acknowledges that Block2Learn may evolve over time and that references to Block2Learn within this Policy shall be interpreted broadly to preserve the continuity and enforceability of the contractual relationship.

2.2 Platform

“Platform” means the Block2Learn website, associated domains, subdomains, software systems, membership systems, subscription systems, educational environments, dashboards, Learning Path environments, Framework environments, support systems, communication systems, mobile applications, software tools, artificial intelligence tools, future digital environments and all related technological infrastructure through which products or services are delivered.

The Platform may include both proprietary systems and third party technologies utilized by Block2Learn for operational purposes.

The Customer acknowledges that the Platform is a dynamic technological environment that may evolve, expand, reorganize, migrate or otherwise change over time.

2.3 User

“User” means any individual who accesses, visits, browses, interacts with, registers for or otherwise uses any portion of the Platform regardless of whether such individual completes a purchase.

A User may become a Customer upon completion of a qualifying transaction.

References to User obligations within this Policy shall apply where appropriate even before a purchase has been completed.

2.4 Customer

“Customer” means any User who purchases, activates, subscribes to, accesses or otherwise obtains rights to a Digital Product, Membership, Subscription, Learning Path, Framework, Dashboard or other paid service offered through the Platform.

The Customer acknowledges that purchases create a contractual relationship governed by the Terms of Service, the Digital Products Sales Agreement, this Policy and all other applicable legal documents forming part of the Block2Learn legal framework.

The Customer further acknowledges that certain rights and obligations arise immediately upon purchase, activation or access regardless of whether the Customer actively uses the purchased product.

2.5 Digital Product

“Digital Product” means any digital content, digital service, educational resource, educational program, guide, book, video, article, research publication, dashboard, Framework component, Learning Path component, membership benefit, software tool, downloadable resource, interactive tool, artificial intelligence tool, digital asset or future digital offering made available through the Platform.

Digital Products are supplied electronically and do not constitute physical goods.

The Customer acknowledges that Digital Products are access based offerings and may be delivered through account activation, membership activation, subscription activation, dashboard activation, Learning Path activation or other forms of Digital Delivery.

2.6 Membership

“Membership” means any access based offering that grants a Customer the right to access designated products, services, educational resources, dashboards, Learning Path components, Framework components or other benefits for a specified period or under specified access conditions.

Memberships may include one time purchases, recurring access arrangements, bundled access rights or future membership structures introduced by Block2Learn.

The Customer acknowledges that a Membership primarily grants access rights rather than ownership rights.

2.7 Subscription

“Subscription” means any recurring access arrangement involving periodic billing, recurring renewal, recurring access rights or continuing access to designated products, services, educational resources, dashboards, Learning Path components, Framework components or other digital resources.

Subscriptions may renew automatically where disclosed during the purchase process and may remain subject to the applicable subscription terms, cancellation procedures and renewal procedures established by Block2Learn.

The Customer acknowledges that a Subscription constitutes an ongoing access relationship rather than a transfer of ownership.

2.8 Learning Path

“Learning Path” means the structured educational ecosystem developed by Block2Learn and may include educational layers, educational modules, educational guides, educational resources, videos, dashboards, exercises, progress tracking systems, Framework integrations, interactive components, educational pathways, milestones, checkpoints and future educational developments.

The Customer acknowledges that the Learning Path is educational in nature and may evolve over time.

The Learning Path does not constitute professional certification, academic accreditation, investment advisory services, financial planning services, regulated education or any guarantee of educational, professional or financial outcomes.

2.9 Framework

“Framework” means any methodology, decision making system, analytical structure, educational tool, dashboard system, scoring system, assessment system, operational model, educational process, software component or proprietary intellectual property developed by Block2Learn to assist Customers in organizing, interpreting, evaluating or applying educational concepts.

The Customer acknowledges that the Framework constitutes proprietary intellectual property and remains subject to all intellectual property protections established throughout the Block2Learn legal framework.

Access to the Framework does not transfer ownership of the Framework.

2.10 Dashboard

“Dashboard” means any digital interface, educational tracking interface, progress tracking system, assessment environment, visualization tool, reporting environment, educational control panel or related software feature made available through the Platform.

Dashboards may display educational progress, access status, educational milestones, Framework outputs, membership information, subscription information, educational metrics or other information.

The Customer acknowledges that Dashboard functionality may evolve over time and may depend in part upon third party technologies, software integrations, plugins, hosting infrastructure, APIs and other external services.

2.11 Immediate Access

“Immediate Access” means access granted immediately or substantially immediately after successful completion of a purchase, payment authorization, account activation, membership activation, subscription activation or other qualifying event.

The Customer acknowledges that Immediate Access may occur automatically through technological systems without manual intervention by Block2Learn.

Immediate Access constitutes a central characteristic of the Digital Products offered through the Platform.

2.12 Immediate Performance

“Immediate Performance” means the commencement of performance of a Digital Product or Digital Service immediately or substantially immediately after the Customer expressly requests access and such access is provided through the Platform.

The Customer acknowledges that Immediate Performance may begin as soon as access is activated regardless of whether the Customer immediately consumes, views, studies or uses the content.

The commencement of Immediate Performance may have consequences for withdrawal rights where permitted by applicable law.

2.13 Digital Delivery

“Digital Delivery” means the electronic provision, activation, enabling, granting or making available of access to a Digital Product or Digital Service through the Platform.

Digital Delivery may occur through account activation, membership activation, subscription activation, Learning Path activation, Framework activation, Dashboard activation, permission assignment, access rights assignment, software activation or other electronic means.

The Customer acknowledges that Digital Delivery does not require physical shipment, physical media, manual delivery or courier services.

Digital Delivery may be completed when access becomes available through the Platform.

2.14 Withdrawal Right

“Withdrawal Right” means any right granted by applicable consumer protection legislation allowing a Customer to withdraw from a qualifying transaction within a legally prescribed period.

The Customer acknowledges that withdrawal rights may be limited, modified, excluded or lost in circumstances permitted by applicable law, including circumstances involving Immediate Access, Immediate Performance and Digital Delivery of digital content or digital services.

Nothing in this Policy shall be interpreted as eliminating rights that cannot lawfully be excluded.

2.15 Refund

“Refund” means the return of funds previously paid by a Customer in connection with a transaction.

A Refund may be granted where required by applicable law, expressly authorized by Block2Learn or otherwise required under the contractual framework governing the transaction.

The Customer acknowledges that refunds are not automatic and that eligibility for a refund depends upon the specific circumstances of the transaction, applicable law, Digital Delivery status, access status, activation status, withdrawal rights and other relevant factors.

2.16 Chargeback

“Chargeback” means any reversal, dispute, recovery action, card dispute, payment dispute or similar procedure initiated through a bank, card issuer, payment processor, payment provider or financial institution seeking reversal of a completed transaction.

The Customer acknowledges that a Chargeback is not a substitute for the refund procedures established by Block2Learn and may trigger investigation, verification, account restrictions, suspension measures and enforcement procedures.

2.17 Payment Dispute

“Payment Dispute” means any claim, complaint, challenge, inquiry, reversal request, refund demand, transaction dispute, billing dispute or similar matter relating to a payment made through the Platform.

Payment Disputes may be investigated by Block2Learn, payment processors, financial institutions, card issuers or other relevant parties.

The Customer acknowledges that Payment Disputes may require verification procedures, submission of evidence, review of transaction records, review of access records and cooperation from the Customer before a determination can be made.

3. NATURE OF BLOCK2LEARN PRODUCTS

3.1 Digital Nature of Products

The Customer acknowledges that all products, services, memberships, subscriptions, educational resources, Learning Paths, Frameworks, Dashboards and related offerings made available through the Platform are digital in nature.

The Customer further acknowledges that such products are supplied electronically through the technological infrastructure of the Platform and do not constitute physical goods, tangible property or physical merchandise.

Accordingly, purchases made through the Platform shall be governed by legal principles applicable to digital content, digital services, electronic delivery and access based products rather than principles primarily applicable to physical goods.

The Customer understands that the digital nature of the products offered through the Platform may affect delivery procedures, activation procedures, withdrawal rights, refund eligibility, support procedures and other aspects of the contractual relationship.

3.2 No Physical Goods

Block2Learn does not sell physical books, physical courses, physical training materials, physical products, physical merchandise or other tangible goods unless expressly stated otherwise.

The Customer acknowledges that no shipment, courier service, postal delivery, warehouse fulfillment, logistics service, physical inventory management or physical transfer of goods is required for the performance of transactions governed by this Policy.

The absence of a physical shipment, physical package, delivery tracking number or physical delivery confirmation shall not be interpreted as evidence that delivery has not occurred.

Where access to a Digital Product has been granted through the Platform, delivery obligations may be deemed satisfied in accordance with the applicable contractual framework.

3.3 Educational Nature of Products

The Customer acknowledges that the products and services offered through the Platform are educational and informational in nature.

The purpose of such products is to assist Customers in developing knowledge, understanding, analytical skills, decision making frameworks, educational competencies and independent learning capabilities.

Block2Learn does not provide regulated investment advisory services, portfolio management services, wealth management services, legal services, accounting services, tax advisory services or other regulated professional services unless expressly stated otherwise in a future legally compliant offering.

The Customer further acknowledges that educational products are designed to provide opportunities for learning and development rather than guaranteed outcomes.

Accordingly, educational dissatisfaction, disagreement with educational methodologies, disagreement with educational conclusions, disagreement with analytical approaches or failure to achieve personal objectives shall not automatically create refund rights.

3.4 Access Based Services

The Customer acknowledges that the products offered through the Platform are primarily access based services.

In most cases, the value of the product is delivered through access rights rather than through transfer of ownership.

The Customer purchases the right to access educational materials, Learning Paths, Frameworks, Dashboards, Memberships, Subscriptions and related digital resources in accordance with the applicable contractual terms.

The Customer further acknowledges that activation of access rights may constitute substantial or complete performance of the delivery obligations associated with the transaction.

3.5 Delivery Through Platform Access

Block2Learn delivers Digital Products through access to the Platform and its associated systems.

Delivery may occur through account permissions, access activations, membership activations, subscription activations, Learning Path activations, Framework activations, Dashboard activations or other electronic mechanisms.

The Customer acknowledges that delivery may be completed without the need for direct interaction with Block2Learn personnel.

Automated technological systems may perform delivery immediately following successful completion of a qualifying transaction.

3.6 Delivery Through Account Activation

Certain Digital Products may be delivered through activation of permissions associated with the Customer’s account.

The Customer acknowledges that access rights may become available immediately after purchase and that account activation may constitute Digital Delivery for purposes of this Policy.

The Customer further acknowledges that access availability is not dependent upon immediate use, immediate consumption, immediate viewing or immediate study of the purchased content.

3.7 Delivery Through Membership Activation

Where a Digital Product is delivered through a Membership structure, delivery may occur through activation of Membership privileges associated with the Customer’s account.

The Customer acknowledges that Membership activation may provide immediate access to educational resources, Learning Path components, Dashboards, Framework resources and other digital content.

Such activation may constitute Digital Delivery and may initiate Immediate Performance of digital services.

3.8 Third Party Infrastructure and Dependencies

The Customer acknowledges that Block2Learn relies upon third party technologies, software providers, hosting providers, payment processors, cloud service providers, communication providers, membership systems, subscription systems, plugins, APIs, integrations, security systems, analytics providers, artificial intelligence systems and other external services in order to operate the Platform and deliver Digital Products.

Certain features, functionalities, Dashboards, Framework components, Learning Path components, Membership services, Subscription services and educational resources may depend partially or entirely upon such third party infrastructure.

Block2Learn does not own, control or operate all third party systems utilized within its technological environment and therefore cannot guarantee the uninterrupted availability, future development, compatibility, maintenance, commercial viability or continued operation of any third party service.

Accordingly, temporary interruptions, technical failures, compatibility issues, software defects, plugin failures, API failures, hosting failures, communication failures, service degradations, data losses, feature removals, discontinuations, business failures, insolvencies or permanent shutdowns affecting third party services shall not automatically create refund rights, withdrawal rights, compensation rights or liability on the part of Block2Learn.

Where reasonably possible, Block2Learn may attempt to repair, replace, redesign, migrate, modify or substitute affected functionalities. However, Block2Learn shall not be obligated to recreate identical functionality, identical content structures, identical software tools, identical Dashboard experiences or identical Learning Path experiences where such elements depended upon third party technologies that are no longer reasonably available, maintainable or supportable.

The Customer acknowledges that reliance upon third party infrastructure is an inherent characteristic of modern digital platforms and accepts the risks associated with such dependencies.

Nothing in this Section shall limit rights that cannot be excluded under mandatory applicable law.

3.9 Future Product Evolution

The Customer acknowledges that Block2Learn is an evolving educational platform.

Digital Products, Learning Paths, Frameworks, Memberships, Subscriptions, Dashboards, educational resources, software tools, user interfaces, content structures, educational methodologies, visual designs, organizational structures and related components may be updated, expanded, modified, reorganized, redesigned, migrated, improved or replaced over time.

Such changes may occur for educational reasons, operational reasons, security reasons, technological reasons, regulatory reasons, commercial reasons or other legitimate business purposes.

The Customer acknowledges that future modifications, enhancements, redesigns, content updates, feature additions, feature removals or structural changes shall not automatically create refund rights, withdrawal rights or compensation rights.

The Customer further acknowledges that the purchase of a Digital Product does not guarantee that the product will remain permanently identical to the version existing at the time of purchase.

Block2Learn reserves the right to continue developing, improving and evolving its products while preserving the overall educational objectives of the Platform.

4. IMMEDIATE ACCESS TO DIGITAL CONTENT

4.1 Immediate Delivery

The Customer acknowledges that Block2Learn is designed to provide Digital Products through immediate or substantially immediate electronic delivery following successful completion of a qualifying transaction.

Unlike traditional physical goods, Digital Products may be delivered automatically through technological systems immediately after payment authorization, account activation, Membership activation, Subscription activation or other qualifying events.

The Customer further acknowledges that the speed of Digital Delivery constitutes a fundamental characteristic of the Platform and an essential element of the contractual relationship.

Accordingly, Digital Delivery may occur without manual intervention by Block2Learn and may be completed within seconds or minutes following a successful transaction.

4.2 Access Granted Upon Purchase

Where technically possible, access to purchased Digital Products shall be granted immediately or substantially immediately after successful completion of the purchase process.

The Customer acknowledges that the granting of access rights may constitute both Digital Delivery and commencement of performance of the purchased Digital Product.

The Customer further acknowledges that access may be granted automatically through account permissions, Membership permissions, Subscription permissions, Learning Path permissions, Framework permissions, Dashboard permissions or other technological access mechanisms.

The availability of access shall not depend upon the Customer actively opening, viewing, studying, downloading or consuming the content.

4.3 Delivery Through Account Activation

Certain Digital Products may be delivered through activation of access rights associated with the Customer’s account.

The Customer acknowledges that the assignment of permissions, activation of access rights or unlocking of content within the Platform may constitute complete Digital Delivery of the purchased product.

The Customer further acknowledges that account based delivery may occur automatically and may not require additional action by Block2Learn following successful payment.

Where access becomes available within the Customer’s account, delivery obligations may be considered satisfied in accordance with the contractual framework governing the transaction.

4.4 Delivery Through Membership Activation

Where access is provided through a Membership structure, delivery may occur through activation of Membership related permissions and benefits.

The Customer acknowledges that Membership activation may immediately provide access to educational content, Learning Path resources, Dashboards, Framework components, educational materials and other digital resources.

Such activation may constitute Digital Delivery even where the Customer has not yet accessed every component made available through the Membership.

The Customer further acknowledges that delivery is based upon availability of access rather than completion of educational consumption.

4.5 Delivery Through Learning Path Access

The Customer acknowledges that access to Learning Path resources may be delivered through activation of Learning Path permissions associated with the Customer’s account.

Where Learning Path access becomes available, Digital Delivery may be deemed completed regardless of whether the Customer chooses to begin, continue or complete the educational journey.

The Customer further acknowledges that educational progression, completion rates, lesson completion status, Dashboard activity, progress tracking metrics and educational outcomes do not determine whether delivery has occurred.

Delivery is based upon availability of access rather than educational completion.

4.6 Delivery Through Framework Access

Where the purchased product includes access to the Framework, Framework components, Framework tools, Framework methodologies, Framework Dashboards or Framework resources, delivery may occur through activation of the relevant access permissions.

The Customer acknowledges that Framework activation may constitute Digital Delivery regardless of the extent to which the Framework is subsequently used.

The Customer further acknowledges that access to proprietary Framework resources may provide immediate value upon activation and therefore may constitute immediate commencement of performance.

4.7 Delivery Through Dashboard Access

Certain Digital Products may include access to educational Dashboards, progress Dashboards, assessment systems, reporting interfaces, tracking environments or other software based resources.

The Customer acknowledges that Dashboard activation may constitute Digital Delivery of part or all of the purchased Digital Product.

The Customer further acknowledges that access to a Dashboard may provide immediate access to educational functionality even before active use occurs.

Accordingly, Digital Delivery may be deemed completed when Dashboard functionality becomes available to the Customer.

4.8 Delivery Through Platform Infrastructure

The Customer acknowledges that Digital Delivery may occur through a combination of technological systems operating within the Platform infrastructure.

Such systems may include Membership systems, Subscription systems, account management systems, Learning Path systems, Framework systems, Dashboard systems, content management systems, access control systems, automation systems and other technological components.

Where such systems successfully grant access to the purchased Digital Product, Digital Delivery may be deemed completed regardless of whether the Customer immediately uses the product.

The Customer further acknowledges that delivery through technological infrastructure is a valid and accepted method of delivery for digital content and digital services.

4.9 Delivery Completion Upon Access Availability

For purposes of this Policy, delivery shall generally be considered completed when the purchased Digital Product becomes available for access through the Platform.

The Customer acknowledges that Digital Delivery is based upon availability rather than actual consumption.

Accordingly, a Customer’s decision not to access, study, review, complete, use or engage with the purchased content shall not prevent Digital Delivery from being considered completed.

The Customer further acknowledges that delivery completion may occur even where the Customer never actively accesses the content after purchase.

4.10 Technical Availability Constitutes Delivery

The Customer acknowledges that technical availability of the purchased Digital Product through the Platform may constitute evidence that Digital Delivery has occurred.

Where access permissions have been assigned successfully and the product is technically available to the Customer, Block2Learn may consider its delivery obligations satisfied.

The Customer further acknowledges that Digital Delivery does not require proof that every page was viewed, every lesson was completed, every Dashboard was opened or every educational resource was consumed.

Availability of access may be sufficient to establish delivery for contractual purposes.

4.11 User Responsibility for Access

The Customer is responsible for maintaining access to the email address, account credentials, devices, internet connection, browser environment and technological resources reasonably necessary to access the Platform.

The Customer acknowledges that inability to access content resulting from forgotten credentials, lost email access, abandoned accounts, device changes, browser issues, local configuration issues, personal technical limitations or other circumstances within the Customer’s reasonable control shall not invalidate Digital Delivery.

Where assistance is requested, the Customer shall cooperate with Block2Learn in accordance with the applicable provisions of the contractual framework governing support, verification and account restoration procedures.

The Customer further acknowledges that Digital Delivery may remain valid even where access difficulties arise after delivery has already occurred.

5. EXPRESS REQUEST FOR IMMEDIATE PERFORMANCE

5.1 User Request for Immediate Access

The Customer acknowledges that the Digital Products offered through the Platform are designed to be accessed immediately or substantially immediately after purchase, subject to successful payment confirmation, account activation, technical availability, fraud prevention measures and any applicable verification requirements.

Before completing a purchase, the Customer may be required to expressly request Immediate Access to the purchased Digital Product through a mandatory checkout acknowledgement, checkbox, declaration, consent mechanism or similar electronic confirmation.

By requesting Immediate Access, the Customer authorizes Block2Learn to make the purchased Digital Product available without delay and acknowledges that access may be granted before the expiration of any withdrawal period that might otherwise apply under certain consumer protection rules.

The Customer further acknowledges that the request for Immediate Access is a material element of the transaction and forms part of the contractual basis upon which Block2Learn provides immediate Digital Delivery.

If the Customer does not wish to receive Immediate Access, the Customer must not complete the purchase where Immediate Access confirmation is required as part of the checkout process.

5.2 Immediate Execution of Digital Services

The Customer acknowledges that immediate execution of digital services may begin when Block2Learn activates access to the purchased product, membership, subscription, Learning Path, Framework, Dashboard, educational resource, software tool or other digital service.

Immediate execution does not require that the Customer fully consume the content, complete the educational resources, use every feature, view every page, open every Dashboard or obtain any subjective benefit from the product.

For digital content and digital services, performance may begin when access is technically made available.

The Customer expressly acknowledges that this is different from physical goods, where delivery and inspection may occur after shipment.

In the case of Block2Learn Digital Products, the ability to access the product may itself constitute the beginning of performance.

The Customer further acknowledges that Immediate Performance may be carried out through automated technological systems, and that the absence of manual delivery or personal communication from Block2Learn shall not prevent performance from beginning.

5.3 Express User Consent

Where required during checkout, the Customer provides express consent for Block2Learn to begin performance of the contract immediately.

Such consent may be given by selecting a checkbox, accepting a mandatory declaration, clicking a confirmation button, completing checkout after being presented with the relevant acknowledgement or otherwise providing an electronic confirmation through the Platform.

The Customer acknowledges that such consent is intended to satisfy the legal and contractual requirements applicable to the immediate supply of digital content and digital services.

The Customer further acknowledges that express consent to Immediate Performance may affect withdrawal rights where permitted by applicable law.

Such consent shall be interpreted together with the Digital Products Sales Agreement, the Terms of Service, this Policy and all related checkout declarations made available to the Customer before purchase.

5.4 Electronic Acceptance

The Customer acknowledges that acceptance of this Policy, the Terms of Service, the Digital Products Sales Agreement, the request for Immediate Access, the request for Immediate Performance and the acknowledgement of withdrawal consequences may occur electronically.

Electronic acceptance may occur through checkboxes, checkout confirmations, account confirmations, button clicks, electronic signatures, platform interactions, order submission, payment submission or other electronic mechanisms made available by Block2Learn.

The Customer agrees that electronic acceptance has the same legal effect as handwritten acceptance to the maximum extent permitted by applicable law.

The Customer further acknowledges that electronic commerce necessarily relies upon digital records, transaction flows, account systems, payment systems and electronic confirmations.

Accordingly, the Customer agrees that electronic acceptance shall be valid and enforceable in connection with purchases made through the Platform.

5.5 Checkout Confirmation

The Customer acknowledges that the checkout process may require mandatory confirmation of one or more legal declarations before the transaction can be completed.

Such declarations may include acceptance of the Terms of Service, acceptance of the Digital Products Sales Agreement, acceptance of this Refund & Withdrawal Policy, acknowledgement of the digital nature of the product, request for Immediate Access, request for Immediate Performance and acknowledgement of possible consequences for withdrawal rights.

The Customer acknowledges that completing checkout after being presented with mandatory declarations constitutes confirmation that the Customer has accepted such declarations.

The Customer further acknowledges that the checkout process is part of the contractual framework governing the transaction and that the purchase cannot be separated from the declarations accepted during checkout.

Where a checkout confirmation is required, the Customer must not proceed unless the Customer understands and accepts the declaration presented.

5.6 Proof of Consent

Block2Learn may rely upon available electronic records, checkout structure, order completion, payment confirmation, access activation, account records, membership records, subscription records, confirmation emails, support communications and other evidence reasonably available to demonstrate that the Customer accepted the applicable legal documents and requested Immediate Access or Immediate Performance.

The Customer acknowledges that Block2Learn may not maintain every possible technical record in every circumstance and that the absence of one specific log or technical artifact shall not automatically invalidate consent where other evidence reasonably demonstrates that the Customer completed the transaction, accepted the applicable legal framework or received access.

The Customer further acknowledges that the legal documents may be made available before purchase, during checkout and after purchase, including through Platform pages, checkout links, account areas, confirmation emails, receipts and other electronic communications.

To the maximum extent permitted by applicable law, Block2Learn may rely upon the overall transaction record to establish the existence of consent, contractual acceptance, Digital Delivery and Immediate Performance.

5.7 Mandatory Checkout Acknowledgement

Where Block2Learn requires a mandatory checkout acknowledgement relating to Immediate Access, Immediate Performance or withdrawal consequences, the Customer acknowledges that the transaction cannot be completed unless such acknowledgement is actively accepted.

The Customer understands that such mandatory acknowledgement is designed to ensure that the Customer knowingly requests immediate supply of the Digital Product and understands the legal consequences associated with that request.

The Customer further acknowledges that the mandatory acknowledgement may be separate from the general acceptance of the Terms of Service and may specifically address the immediate delivery of digital content or digital services.

Completion of checkout after selecting such acknowledgement shall constitute confirmation that the Customer expressly requested Immediate Access and Immediate Performance under the terms of this Policy.

The Customer acknowledges that such acknowledgement may be relied upon by Block2Learn in connection with refund requests, withdrawal requests, payment disputes, chargebacks, support requests and legal proceedings.

5.8 Mandatory Acceptance of Legal Documents

Before completing a purchase, the Customer may be required to accept the legal documents governing the transaction.

Such documents may include the Terms of Service, the Digital Products Sales Agreement, this Refund & Withdrawal Policy, the Membership and Subscription Policy, the Learning Path Policy, the Account and Acceptable Use Policy, the Financial Disclaimer and Risk Disclosure, the Intellectual Property Policy, the Privacy Policy and any other applicable policy made available by Block2Learn.

The Customer acknowledges that the legal documents form an integrated contractual framework and that acceptance of the transaction requires acceptance of the documents applicable to the purchased product.

The Customer further acknowledges that links to such documents may be provided before purchase, during checkout, in confirmation emails, in account areas or through other Platform pages.

Failure to read such documents after they have been made available shall not invalidate the Customer’s acceptance where the Customer proceeds with the purchase.

5.9 Relationship with Digital Delivery

The Customer acknowledges that the express request for Immediate Access and Immediate Performance is directly connected with Digital Delivery.

Once the Customer has requested Immediate Access and Block2Learn makes the Digital Product available through the Platform, Digital Delivery may be considered completed to the maximum extent permitted by applicable law.

The Customer further acknowledges that the request for Immediate Performance authorizes Block2Learn to activate access and begin performance without waiting for the expiration of a withdrawal period, where such immediate supply is permitted by applicable law.

This relationship between consent, access, delivery and performance is essential to the refund and withdrawal rules described in this Policy.

5.10 Relationship with Withdrawal Rights

The Customer acknowledges that requesting Immediate Access and Immediate Performance may affect the Customer’s right of withdrawal where permitted by applicable law.

In particular, where the Customer expressly requests immediate supply of digital content or digital services, acknowledges the applicable consequences and the Digital Product is made available or performance begins, withdrawal rights may be lost, excluded or limited to the maximum extent permitted by applicable law.

The Customer further acknowledges that this Policy does not eliminate mandatory rights that cannot lawfully be excluded.

However, where applicable law allows withdrawal rights to be limited, excluded or lost in connection with digital content and digital services supplied immediately at the Customer’s request, Block2Learn intends to rely upon such legal rules to the maximum extent permitted.

6. RIGHT OF WITHDRAWAL

6.1 General Consumer Rights

The Customer acknowledges that certain consumer protection laws may grant consumers a right to withdraw from distance contracts within a statutory period and under specific legal conditions.

Block2Learn respects mandatory consumer rights that cannot be excluded, limited or waived under applicable law.

At the same time, the Customer acknowledges that withdrawal rights are not unlimited and that the law may provide specific exceptions, limitations or consequences where a contract concerns digital content, digital services, Immediate Access, Digital Delivery or Immediate Performance requested by the Customer.

This Policy is intended to explain how withdrawal rights are treated in connection with Digital Products offered through the Platform.

The Customer acknowledges that the availability, scope and consequences of any withdrawal right may depend upon the Customer’s legal status, country of residence, applicable consumer law, the nature of the product purchased, whether Immediate Access was requested, whether Immediate Performance began, whether Digital Delivery occurred and whether the Customer accepted the relevant checkout acknowledgements.

6.2 Applicable Consumer Protection Laws

The Customer acknowledges that different jurisdictions may apply different consumer protection rules to digital content, digital services, online contracts, distance contracts, subscriptions, memberships and educational products.

Block2Learn operates from Italy and the Block2Learn legal framework is governed by Italian law, subject to mandatory consumer protection rights that may apply under applicable law.

The Customer further acknowledges that this Policy is drafted to operate internationally while preserving mandatory rights that cannot lawfully be excluded.

Where mandatory consumer protection rules apply, Block2Learn shall comply with such rules to the extent required.

However, where applicable law permits withdrawal rights to be excluded, limited or lost in connection with digital content or digital services supplied immediately at the Customer’s request, Block2Learn reserves the right to rely upon such exceptions, limitations and consequences to the maximum extent permitted.

6.3 Digital Content Exception

The Customer acknowledges that Digital Products offered through the Platform may constitute digital content, digital services or a combination of both.

Digital content may include educational guides, digital books, videos, research materials, written content, downloadable resources, templates, visual materials, educational tools, Framework materials, Learning Path materials and other electronically supplied content.

The Customer acknowledges that digital content may be accessed, viewed, read, studied, downloaded where permitted, copied in memory, screenshotted, consumed or otherwise used shortly after access is granted.

For this reason, applicable law may treat digital content differently from physical goods.

Where the Customer expressly requests Immediate Access to digital content, acknowledges the applicable consequences and the digital content is supplied, the Customer’s withdrawal rights may be lost, excluded or limited to the extent permitted by applicable law.

The Customer acknowledges that this exception exists because, once digital content has been supplied, it may be difficult or impossible for Block2Learn to verify whether the Customer has accessed, copied, consumed, stored or benefited from such content.

6.4 Digital Services Exception

The Customer acknowledges that certain Block2Learn offerings may constitute digital services.

Digital services may include Membership access, Subscription access, Dashboard functionality, Learning Path access, Framework access, account based educational environments, software tools, progress tracking systems, interactive tools, protected access areas, educational platforms and future digital service environments.

The Customer acknowledges that a digital service may begin when access is activated, when a membership or subscription is enabled, when a dashboard becomes available, when a Learning Path is opened, when Framework access is granted or when the Customer receives the ability to use the digital environment.

Where the Customer expressly requests Immediate Performance of a digital service and such performance begins, withdrawal rights may be limited, reduced, excluded or lost to the maximum extent permitted by applicable law.

The Customer further acknowledges that the beginning of a digital service is not dependent upon whether the Customer fully uses the service, completes the materials, accesses every feature or obtains any particular educational benefit.

6.5 Immediate Performance Exception

The Customer acknowledges that Immediate Performance is a central element of the Block2Learn purchase process.

Where the Customer requests Immediate Performance during checkout, Block2Learn may begin performing the contract immediately by activating access to Digital Products, Memberships, Subscriptions, Learning Paths, Frameworks, Dashboards, educational resources, protected areas or other digital services.

The Customer expressly acknowledges that Immediate Performance may begin before the expiration of any withdrawal period that may otherwise apply.

Where applicable law permits withdrawal rights to be lost, excluded or limited as a result of Immediate Performance requested by the Customer, Block2Learn intends to rely upon such legal consequences.

The Customer further acknowledges that the purpose of the Immediate Performance exception is to prevent a Customer from receiving immediate access to digital content or digital services, obtaining the benefit of such access and then later attempting to reverse the transaction as if no performance had occurred.

6.6 Loss of Withdrawal Rights Where Applicable

To the maximum extent permitted by applicable law, the Customer acknowledges that the right of withdrawal may be lost, excluded or limited where all legally required conditions are satisfied.

Such conditions may include the Customer’s express request for Immediate Access or Immediate Performance, the Customer’s acknowledgement of the consequences for withdrawal rights, the acceptance of the relevant checkout declarations and the actual supply or activation of the Digital Product or Digital Service.

The Customer acknowledges that once Digital Delivery has occurred or Immediate Performance has begun, Block2Learn may have already performed the essential obligation associated with the transaction.

The Customer further acknowledges that the Customer may not be entitled to withdraw merely because the Customer later changes mind, fails to use the product, no longer wants the product, expected a different result, disagrees with the content, did not complete the Learning Path, did not use the Dashboard or did not achieve the desired personal outcome.

Nothing in this Section shall exclude rights that cannot be excluded under mandatory applicable law.

6.7 User Acknowledgement

The Customer acknowledges that the withdrawal consequences associated with Immediate Access, Digital Delivery and Immediate Performance are explained in this Policy, in the Digital Products Sales Agreement and, where applicable, through the checkout process.

The Customer further acknowledges that the checkout process may require specific acknowledgement of these consequences before the purchase can be completed.

By completing a purchase after such information has been made available, the Customer confirms that the Customer understands the digital nature of the product, the immediate nature of access, the immediate commencement of performance and the potential consequences for withdrawal rights.

The Customer acknowledges that such acknowledgement is material to Block2Learn’s decision to provide Immediate Access and Immediate Performance.

6.8 Prior Opportunity to Evaluate the Platform

The Customer acknowledges that, before purchasing paid Digital Products, the Customer may have the opportunity to evaluate the general nature, educational approach, structure, writing style, video style, interface style, learning philosophy, content depth, platform design and overall educational positioning of Block2Learn through publicly available materials, free resources, product descriptions, educational previews, articles, research content, social communications, informational pages and other materials made available by Block2Learn.

The Customer acknowledges that such materials are made available to assist prospective Customers in understanding the Platform before making a purchase decision.

The Customer is responsible for reviewing available information before purchasing a paid product.

Where the Customer completes a purchase without reviewing available information, such failure shall not, by itself, create a refund right, withdrawal right, cancellation right or chargeback basis.

The Customer further acknowledges that the availability of pre purchase information reduces the likelihood that the Customer is purchasing without any opportunity to understand the nature of the Platform.

6.9 Free Start Evaluation Opportunity

The Customer specifically acknowledges that Block2Learn may provide a Free Start or similar free educational access experience before the purchase of paid products.

Free Start may include educational guides, written materials, videos, graphics, interactive components, Dashboard elements, Learning Path previews, Framework oriented concepts, educational structures and other resources intended to allow Users to experience the quality, style, structure and educational methodology of the Platform before purchasing paid products.

The Customer acknowledges that Free Start is not merely a promotional claim, but may provide a genuine opportunity to evaluate the educational approach, content format, platform structure, learning experience and general quality standards associated with Block2Learn products.

The Customer further acknowledges that paid products may differ in scope, depth, length, access rights, structure and content, but that Free Start may provide a meaningful indication of the educational philosophy, platform quality and learning methodology used by Block2Learn.

Where the Customer has had access to Free Start or similar free resources before purchase, the Customer shall not claim that the Customer had no reasonable opportunity to assess the general nature of the Platform, educational style, content format or learning structure before purchasing.

The availability of Free Start does not eliminate mandatory rights that cannot be excluded under applicable law, but it may be considered by Block2Learn in evaluating refund requests based upon educational style, platform design, content expectations, learning methodology or subjective dissatisfaction.

6.10 Relationship with Checkout Acceptance

The Customer acknowledges that checkout acceptance plays a central role in the treatment of withdrawal rights.

Where the checkout process requires the Customer to accept this Policy, the Terms of Service, the Digital Products Sales Agreement and a separate acknowledgement relating to Immediate Access or Immediate Performance, the Customer confirms that the purchase is made with knowledge of the applicable refund and withdrawal framework.

The Customer further acknowledges that checkout confirmations may be used by Block2Learn as evidence that the Customer accepted the relevant legal documents, requested Immediate Access, requested Immediate Performance and acknowledged the possible consequences for withdrawal rights.

The Customer agrees that a purchase cannot be separated from the checkout declarations required to complete it.

6.11 Relationship with Sales Agreement

This Policy shall be interpreted together with the Digital Products Sales Agreement.

The Digital Products Sales Agreement establishes the contractual rules governing purchases, Digital Delivery, Immediate Access, Immediate Performance, access activation, licensing, payments, account access, restoration, chargebacks and related transaction matters.

This Policy applies those principles specifically to withdrawal rights and refund eligibility.

The Customer acknowledges that the two documents form part of a single integrated contractual framework and must not be interpreted in isolation.

6.12 Preservation of Mandatory Consumer Rights

Nothing in this Policy shall exclude, restrict or limit consumer rights that cannot be excluded, restricted or limited under mandatory applicable law.

Where a mandatory legal rule applies notwithstanding this Policy, such rule shall prevail only to the extent strictly required by law.

The remaining provisions of this Policy shall continue to apply to the maximum extent permitted.

The Customer acknowledges that preservation of mandatory consumer rights does not prevent Block2Learn from relying upon lawful exceptions, exclusions, limitations, evidentiary rules, procedural requirements or contractual protections applicable to Digital Products, Immediate Access, Digital Delivery and Immediate Performance.

7. CIRCUMSTANCES WHERE REFUNDS ARE NOT AVAILABLE

7.1 Access Already Granted

To the maximum extent permitted by applicable law, refunds shall not be available where the purchased Digital Product has already been made available to the Customer through the Platform.

The Customer acknowledges that the granting of access rights may constitute Digital Delivery and may represent substantial or complete performance of the contractual obligations associated with the transaction.

The Customer further acknowledges that access may be granted immediately following purchase and that the availability of access may occur before the Customer actively views, studies, downloads, completes or otherwise uses the purchased content.

Accordingly, the Customer’s decision not to access the content after access has been granted shall not, by itself, create refund rights.

7.2 Content Already Delivered

Refunds shall not generally be available where Digital Delivery has already occurred and the purchased Digital Product has been supplied through the Platform.

The Customer acknowledges that Digital Delivery differs fundamentally from delivery of physical goods.

Once digital content becomes available, Block2Learn cannot reasonably determine the extent to which the Customer has viewed, studied, analyzed, copied in memory, retained, reproduced, benefited from or otherwise consumed the content.

The Customer further acknowledges that the nature of digital content creates unique risks that justify the application of refund limitations permitted by applicable law.

7.3 Membership Already Activated

Where a Membership has been activated and access rights have been assigned to the Customer’s account, refunds shall generally not be available except where required by applicable law.

The Customer acknowledges that Membership activation may immediately unlock educational resources, Learning Path components, Framework resources, Dashboards, protected content areas, research materials and other digital resources.

The Customer further acknowledges that the value of a Membership is derived primarily from access rights and availability rather than actual usage.

Accordingly, failure to use the Membership after activation shall not create refund rights.

7.4 Subscription Already Activated

Where a Subscription has been activated and recurring access rights have commenced, refunds shall generally not be available except where required by applicable law.

The Customer acknowledges that activation of a Subscription may immediately provide access to digital services and educational resources.

The Customer further acknowledges that the availability of ongoing access constitutes part of the value received through the Subscription.

Failure to make use of the Subscription after activation shall not create refund rights.

7.5 Dashboard Already Activated

Where access to a Dashboard has been activated, refunds shall generally not be available solely because the Customer chooses not to use the Dashboard.

The Customer acknowledges that Dashboard functionality may provide immediate educational value, access value, progress tracking value, organizational value or analytical value upon activation.

The Customer further acknowledges that the availability of Dashboard access may constitute part of the Digital Delivery associated with the purchased product.

7.6 Learning Path Already Activated

Where access to a Learning Path has been activated, refunds shall generally not be available solely because the Customer has not completed the Learning Path, has not progressed through the Learning Path or has not achieved the desired educational objectives.

The Customer acknowledges that Learning Path activation may immediately provide access to educational resources, methodologies, structures, systems, Framework integrations, Dashboards and other proprietary educational content.

The Customer further acknowledges that educational completion is separate from Digital Delivery.

7.7 Framework Already Activated

Where access to the Framework has been activated, refunds shall generally not be available solely because the Customer chooses not to use the Framework, disagrees with the Framework methodology or fails to obtain the desired outcome from the Framework.

The Customer acknowledges that access to the Framework may provide immediate access to proprietary methodologies, educational structures, analytical systems and intellectual property belonging to Block2Learn.

The Customer further acknowledges that access to proprietary Framework resources may constitute substantial performance of the contractual obligations associated with the transaction.

7.8 Failure to Use Purchased Content

Refunds shall not be available solely because the Customer fails to use, access, review, study, complete or otherwise engage with the purchased Digital Product.

The Customer acknowledges that Digital Products are made available for the Customer’s use and that the decision whether or not to use such products remains entirely within the Customer’s control.

The Customer further acknowledges that a personal decision not to use a purchased product does not invalidate delivery, activation, performance or access.

7.9 Change of Mind

Refunds shall not be available solely because the Customer changes mind after purchase.

The Customer acknowledges that Digital Products are purchased intentionally through a checkout process that requires review, confirmation and acceptance of the applicable legal framework.

A subsequent change of preference, interest, motivation, objective, financial plan, educational plan or personal circumstances shall not automatically create refund rights.

7.10 Lack of Time

Refunds shall not be available solely because the Customer lacks time to use the purchased Digital Product.

The Customer acknowledges that personal scheduling decisions, professional commitments, family commitments, educational commitments, business obligations, travel obligations or other demands upon the Customer’s time are outside the control of Block2Learn.

The Customer further acknowledges that inability or unwillingness to allocate time to the purchased product does not affect Digital Delivery.

7.11 Lack of Motivation

Refunds shall not be available solely because the Customer loses motivation, interest, enthusiasm, focus or commitment after purchase.

The Customer acknowledges that educational progress requires effort, discipline, consistency and engagement from the Customer.

The Customer further acknowledges that changes in personal motivation do not invalidate the contractual relationship or the Digital Delivery already provided.

7.12 Lack of Technical Knowledge

Refunds shall not be available solely because the Customer lacks the technical knowledge, educational background, market knowledge, analytical experience, technological familiarity or skill level necessary to fully utilize the purchased product.

The Customer is responsible for evaluating the suitability of a product before purchase.

The Customer further acknowledges that educational products are designed to support learning rather than guarantee immediate comprehension.

7.13 Educational Dissatisfaction

Refunds shall not be available solely because the Customer is dissatisfied with the educational content, educational structure, educational depth, educational methodology, educational conclusions, educational philosophy or educational approach used by Block2Learn.

The Customer acknowledges that educational preferences are inherently subjective.

Different individuals may prefer different teaching methods, learning structures, presentation styles, educational philosophies or analytical approaches.

Such subjective preferences do not invalidate the Digital Delivery already provided.

7.14 Financial Dissatisfaction

Refunds shall not be available solely because the Customer is dissatisfied with financial outcomes, market outcomes, investment outcomes, trading outcomes, business outcomes or capital allocation outcomes experienced after using the Platform.

The Customer acknowledges that Block2Learn provides educational content rather than financial guarantees.

The Customer further acknowledges that financial outcomes depend upon numerous factors beyond the control of Block2Learn.

7.15 Failure to Achieve Desired Results

Refunds shall not be available solely because the Customer fails to achieve personally desired results.

The Customer acknowledges that personal goals vary significantly between individuals and may depend upon factors outside the reasonable control of Block2Learn.

The Customer further acknowledges that educational products provide tools, methodologies, frameworks and learning opportunities rather than guaranteed outcomes.

7.16 Failure to Achieve Expected Outcomes

Refunds shall not be available solely because the Customer’s expectations differ from the outcomes experienced after purchase.

The Customer acknowledges that expectations may be subjective, personal and influenced by factors outside the control of Block2Learn.

The Customer further acknowledges that personal expectations do not create contractual guarantees.

7.17 Failure to Complete the Learning Path

Refunds shall not be available solely because the Customer fails to complete the Learning Path, abandons the Learning Path, pauses the Learning Path, progresses more slowly than expected or otherwise fails to reach a desired completion milestone.

The Customer acknowledges that completion of the Learning Path remains entirely within the Customer’s control.

Digital Delivery and educational access remain valid regardless of completion status.

7.18 Dissatisfaction with Educational Style

Refunds shall not be available solely because the Customer dislikes, disagrees with, no longer prefers or becomes dissatisfied with the educational style, teaching methodology, presentation format, communication style, learning structure, educational philosophy, analytical approach or pedagogical methods utilized by Block2Learn.

The Customer acknowledges that educational style is inherently subjective and that reasonable individuals may differ in their preferences regarding the manner in which information is organized, presented, explained, illustrated or communicated.

The Customer further acknowledges that Block2Learn makes substantial information available before purchase, including product descriptions, educational resources, publicly available content, Free Start materials, articles, videos, research publications, educational communications and other materials intended to allow prospective Customers to understand the general educational approach of the Platform.

Accordingly, dissatisfaction with the educational style of the Platform shall not invalidate Digital Delivery, Immediate Performance, access activation, Membership activation, Subscription activation or any other aspect of contractual performance.

The Customer acknowledges that educational preference does not constitute a defect, failure of delivery, misrepresentation or non performance of the purchased product.

7.19 Dissatisfaction with Platform Design

Refunds shall not be available solely because the Customer dislikes or disagrees with the design, layout, appearance, visual presentation, user interface, navigation structure, organizational structure, Dashboard design, educational flow, graphical elements, content arrangement or aesthetic choices utilized by the Platform.

The Customer acknowledges that design preferences are subjective and may vary significantly between individuals.

The Customer further acknowledges that Platform design may evolve over time as part of ongoing development, improvement, optimization, modernization, security enhancement, educational enhancement or technological evolution.

Disagreement with visual design choices shall not constitute grounds for refund, withdrawal, compensation or chargeback.

The Customer acknowledges that Platform design does not affect whether Digital Delivery has occurred.

7.20 Dissatisfaction with User Experience

Refunds shall not be available solely because the Customer expected a different user experience, educational experience, technological experience, learning experience, interface experience, navigation experience or content consumption experience.

The Customer acknowledges that user experience may be influenced by personal preferences, technical skill level, prior experience, educational background, expectations, devices, browser environments, internet connections and other factors beyond the reasonable control of Block2Learn.

The Customer further acknowledges that subjective disappointment regarding the overall experience does not establish non delivery, defective performance or breach of contract.

The Customer agrees that personal preference regarding user experience shall not automatically create refund eligibility.

7.21 Future Product Evolution

Refunds shall not be available solely because a Digital Product, Membership, Subscription, Learning Path, Framework, Dashboard or other service evolves, changes, expands, reorganizes, redesigns, updates, improves or otherwise develops after purchase.

The Customer acknowledges that Block2Learn operates an evolving educational ecosystem and that ongoing improvements may result in modifications to content, structure, features, interfaces, educational methodologies, technological implementations or organizational frameworks.

The Customer further acknowledges that no representation is made that a product will remain permanently identical to the version existing on the date of purchase.

Where changes are implemented in good faith for educational, technological, operational, security, regulatory or business reasons, such changes shall not create refund rights solely because the Customer preferred a previous version.

7.22 Market Losses

Refunds shall not be available solely because the Customer experiences losses in financial markets, cryptocurrency markets, securities markets, commodity markets, foreign exchange markets or any other investment environment after using information obtained through the Platform.

The Customer acknowledges that market activity involves substantial uncertainty and risk.

Block2Learn does not control market behavior and cannot guarantee future market outcomes.

The Customer further acknowledges that educational content is not designed to eliminate market risk.

Accordingly, unfavorable market performance shall not constitute grounds for refund.

7.23 Investment Losses

Refunds shall not be available solely because the Customer incurs investment losses, trading losses, portfolio losses, capital losses, opportunity costs, liquidity losses or other financial losses.

The Customer acknowledges that all investment decisions remain the sole responsibility of the Customer.

The Customer further acknowledges that educational materials may assist learning but do not eliminate the possibility of loss.

Losses resulting from decisions made by the Customer shall not create refund rights against Block2Learn.

7.24 Business Losses

Refunds shall not be available solely because the Customer experiences business losses, commercial losses, entrepreneurial losses, revenue reductions, operational losses, strategic errors, missed opportunities or other adverse business outcomes.

The Customer acknowledges that business activities involve uncertainty and independent decision making.

Block2Learn does not guarantee business success and shall not be responsible for commercial outcomes experienced by Customers.

The Customer further acknowledges that educational resources are not substitutes for professional business advice.

7.25 User Expectations

Refunds shall not be available solely because the Customer’s expectations differ from the actual characteristics of the purchased product where the product has been delivered substantially as described.

The Customer acknowledges that personal expectations may exceed, differ from or otherwise diverge from the actual scope of the purchased product.

The Customer further acknowledges that subjective expectations do not create contractual guarantees.

Only representations expressly made by Block2Learn within the applicable contractual framework shall be considered in evaluating refund eligibility.

7.26 User Assumptions

Refunds shall not be available solely because the Customer made assumptions regarding the nature, scope, functionality, duration, educational outcomes, financial outcomes, future development, commercial potential or intended use of a product.

The Customer acknowledges that assumptions made independently by the Customer are not binding upon Block2Learn.

The Customer further acknowledges that the Customer is responsible for reviewing available information before completing a purchase.

Assumptions not expressly supported by the contractual framework shall not create refund rights.

7.27 User Misunderstanding of Product Scope

Refunds shall not be available solely because the Customer misunderstood the scope, structure, limitations, objectives, educational purpose, technological characteristics or intended use of a product.

The Customer acknowledges that product descriptions, legal documents, educational materials and other information are made available to assist understanding before purchase.

Where such information has been made reasonably available, misunderstandings arising from the Customer’s failure to review or understand the information shall not automatically create refund eligibility.

The Customer further acknowledges that personal misunderstanding does not invalidate Digital Delivery.

7.28 User Misinterpretation of Educational Content

Refunds shall not be available solely because the Customer misinterprets educational content, educational examples, analytical frameworks, research materials, videos, articles, Learning Path resources, Dashboard outputs or Framework methodologies.

The Customer acknowledges that educational content may require interpretation, study, analysis and independent judgment.

The Customer further acknowledges that different individuals may reach different conclusions when reviewing the same educational material.

Accordingly, personal interpretation errors shall not constitute non delivery, defective performance or grounds for refund.

7.29 User Failure to Read Product Descriptions

Refunds shall not be available solely because the Customer failed to read available product descriptions, educational descriptions, Membership descriptions, Subscription descriptions, Learning Path descriptions, Framework descriptions, Dashboard descriptions or related informational materials before purchase.

The Customer acknowledges that sufficient information is made available to permit informed purchasing decisions.

The Customer further acknowledges that failure to review such information before purchase remains the responsibility of the Customer.

Such failure shall not invalidate the contractual relationship or create refund rights.

7.30 User Failure to Review Free Resources

Refunds shall not be available solely because the Customer failed to review Free Start resources, publicly available educational materials, educational previews, articles, research content, videos, informational pages or other free resources made available before purchase.

The Customer acknowledges that such resources may provide meaningful insight into the educational approach, content quality, Platform structure and learning methodology utilized by Block2Learn.

The Customer further acknowledges that choosing not to review available free resources before purchase shall not create refund eligibility after access has been granted to paid products.

Where Free Start or similar resources were available before purchase, the Customer shall not claim lack of opportunity to evaluate the general nature of the Platform.

7.31 Third Party Service Failures

Refunds shall not be available solely because a third party service utilized by Block2Learn experiences interruption, degradation, incompatibility, suspension, limitation, commercial failure, technical failure, insolvency, discontinuation or permanent shutdown.

The Customer acknowledges that modern digital platforms necessarily rely upon third party technologies and infrastructure.

The Customer further acknowledges that Block2Learn does not control all third party providers and cannot guarantee their continued operation.

Accordingly, issues affecting third party services shall not automatically create refund rights unless required by applicable law or unless they prevent initial Digital Delivery from occurring altogether.

7.32 Plugin Failures

Refunds shall not be available solely because a plugin, software extension, integration, module, add on, embedded tool, membership component, subscription component, educational component, Dashboard component or other third party software element used by Block2Learn experiences malfunction, incompatibility, degradation, suspension, discontinuation, loss of support, security restriction or permanent unavailability.

The Customer acknowledges that the Platform may rely upon plugins and software integrations to provide certain functionalities, including account management, membership access, subscription billing, payment processing, educational dashboards, progress tracking, content protection, communications, automation, analytics, security, learning interfaces and related services.

Block2Learn does not own or control all plugins, software extensions or external systems used within the Platform and cannot guarantee that such systems will remain available, compatible, supported, secure or commercially viable indefinitely.

Where a plugin failure affects a feature, tool, layout, workflow, Dashboard, progress system or other Platform functionality, Block2Learn may attempt, where reasonably possible, to repair, replace, modify, migrate, redesign or substitute the affected functionality.

However, Block2Learn shall not be required to recreate identical functionality, identical workflows, identical Dashboard structures, identical progress systems, identical user interfaces or identical technical environments where the original functionality depended upon a plugin or external software system that is no longer reasonably available, maintainable, compatible or supportable.

The Customer acknowledges that plugin failure shall not automatically invalidate the purchase of a Digital Product, especially where the Customer continues to receive access to the core educational content or substantially equivalent educational resources.

7.33 API Failures

Refunds shall not be available solely because an API, data connection, software connection, external integration, payment connection, communication connection, automation connection, analytics connection, artificial intelligence connection or other technical interface used by the Platform experiences interruption, limitation, degradation, incompatibility, suspension, pricing change, policy change, access restriction, removal or permanent discontinuation.

The Customer acknowledges that APIs and external integrations may be controlled by third parties and may be modified, restricted, discontinued, limited, repriced or disabled without the direct control of Block2Learn.

Where an API failure affects a Dashboard, tool, data display, progress feature, automation, notification, integration, access process or other Platform functionality, Block2Learn may attempt to implement commercially reasonable alternatives where appropriate and reasonably possible.

However, the Customer acknowledges that Block2Learn is not required to guarantee the continued availability of any specific external API, data source, integration or technical connection.

The Customer further acknowledges that certain API related issues may be temporary, while others may be permanent or irreversible due to third party decisions, regulatory requirements, technical incompatibility, commercial discontinuation or changes to external service terms.

Such circumstances shall not automatically create refund rights, compensation rights or chargeback rights where the core product has been delivered or where substantially equivalent access remains available.

7.34 Hosting Failures

Refunds shall not be available solely because hosting providers, cloud infrastructure providers, server providers, content delivery networks, DNS providers, security providers, database providers, backup providers or other infrastructure providers experience outages, interruptions, degradation, failures, maintenance events, attacks, data center issues, routing issues, technical incidents or service discontinuation.

The Customer acknowledges that online platforms depend upon hosting and infrastructure services that may occasionally experience disruptions beyond the reasonable control of Block2Learn.

Temporary unavailability caused by hosting issues shall not automatically constitute non delivery, defective performance or grounds for refund where Block2Learn takes reasonable steps to restore access.

The Customer further acknowledges that infrastructure failures may affect login, content access, Dashboard availability, Membership access, Subscription access, email delivery, checkout functionality, payment processing, account restoration, support communications or other Platform functions.

Where an infrastructure failure occurs, Block2Learn may take reasonable measures to restore, migrate, repair or replace affected systems. However, Block2Learn shall not be liable for outages, interruptions, delays, losses, inconvenience or temporary inability to access Digital Products caused by hosting providers or infrastructure providers outside its reasonable control.

7.35 External Provider Disruptions

Refunds shall not be available solely because external providers used by Block2Learn experience disruptions, limitations, policy changes, pricing changes, technical restrictions, data restrictions, service removal, termination of access, business closure, insolvency, regulatory intervention, security incidents, cyberattacks, platform restrictions or other adverse events affecting services upon which Block2Learn may rely.

The Customer acknowledges that external provider disruptions may affect certain features of the Platform even where Block2Learn acts in good faith and with reasonable care.

Block2Learn may, where reasonably possible, seek alternative providers, modify affected functionality, redesign affected features, replace affected tools or otherwise adapt the Platform to preserve access to educational resources.

However, the Customer acknowledges that Block2Learn shall not be required to provide identical replacement services, identical technical behavior, identical user interfaces, identical integrations, identical Dashboard functions or identical third party dependent features where the external provider disruption makes such replacement technically impracticable, commercially unreasonable or legally unavailable.

The Customer further acknowledges that external provider disruptions shall not automatically create refund rights where the Digital Product has already been delivered, where access has already been granted, where Immediate Performance has already begun or where substantially equivalent educational access remains available.

8. EXCEPTIONAL REFUND SITUATIONS

8.1 Refunds Required by Applicable Law

Block2Learn shall provide refunds where such refunds are expressly required by mandatory applicable law and cannot lawfully be excluded, limited or waived.

Nothing in this Policy is intended to deny Customers rights that cannot be denied under mandatory consumer protection rules.

Where a mandatory legal rule requires a refund, Block2Learn shall comply to the extent strictly required by that rule.

The Customer acknowledges, however, that mandatory consumer rights must be interpreted together with lawful exceptions applicable to digital content, digital services, Immediate Access, Immediate Performance, Digital Delivery and the Customer’s express checkout acknowledgements.

The existence of mandatory consumer rights does not prevent Block2Learn from relying on lawful exclusions, limitations, exceptions, evidentiary requirements, procedural requirements or abuse prevention measures permitted by applicable law.

8.2 Duplicate Payments

Where a Customer is charged more than once for the same transaction due to a confirmed duplicate payment, Block2Learn may issue a refund of the duplicate amount after verification.

A duplicate payment does not include a situation where the Customer purchases multiple products, purchases the same product through multiple accounts, purchases multiple Memberships, purchases multiple Subscription periods, intentionally completes multiple orders or otherwise submits more than one valid transaction.

The Customer is responsible for promptly notifying Block2Learn of any suspected duplicate payment and providing sufficient information to allow verification of the issue.

Such information may include receipts, payment confirmations, transaction IDs, billing statements, account emails, order numbers and other documentation reasonably necessary to confirm the duplicate payment.

Block2Learn may investigate payment records, account records, payment processor records and related transaction evidence before issuing any refund.

8.3 Duplicate Orders

Where the Customer accidentally submits duplicate orders for the same Digital Product, Block2Learn may review the circumstances and determine whether a refund, credit, access adjustment or other remedy is appropriate.

A duplicate order shall not be assumed merely because the Customer regrets purchasing multiple products, purchases a bundle after purchasing an individual product, purchases through multiple accounts, or purchases a product that overlaps with another product.

The Customer must promptly notify Block2Learn of any alleged duplicate order and must provide sufficient evidence to allow verification.

Block2Learn reserves the right to refuse refund requests for duplicate orders where the Customer received distinct products, distinct access rights, distinct Membership benefits, distinct Subscription rights or where the alleged duplicate order resulted from misuse, account manipulation, discount abuse or intentional repeated purchase.

8.4 Verified Billing Errors

Where a verified billing error occurs, Block2Learn may correct the error and issue any refund required by applicable law or deemed appropriate by Block2Learn.

Billing errors may include incorrect amounts charged, incorrect tax calculations, payment processor mistakes, system configuration errors, accidental overcharges or other objectively verifiable errors in the payment process.

The Customer acknowledges that not every disagreement with pricing constitutes a billing error.

A billing error does not include dissatisfaction with the price after purchase, failure to apply a promotional code, expiration of a discount, refusal of a promotion, future price reductions, currency conversion fees, bank fees, card issuer fees or third party charges outside the control of Block2Learn.

Block2Learn may require documentation before confirming a billing error and issuing any refund.

8.5 Unauthorized Transactions Confirmed by Investigation

Where the Customer claims that a transaction was unauthorized, Block2Learn may investigate the matter before issuing any refund or taking any corrective action.

The Customer may be required to provide information reasonably necessary to verify the claim, including account information, payment information, billing details, support communications, payment provider confirmations, bank communications, identity verification information and other relevant documentation.

A transaction shall not be considered unauthorized merely because the Customer later regrets the purchase, forgot about the purchase, failed to cancel a Subscription, allowed another person to access the Customer’s payment method, shared account credentials, permitted family members or colleagues to use the account, or failed to secure the Customer’s device or payment information.

Where investigation confirms that a transaction was genuinely unauthorized and applicable law requires a refund, Block2Learn shall process the refund to the extent required.

Where a claim of unauthorized transaction appears false, misleading, abusive or inconsistent with available records, Block2Learn may refuse the refund request and may take further action under this Policy and the broader legal framework.

8.6 Technical Failures Preventing Initial Delivery

Where the Customer alleges that a technical failure prevented initial Digital Delivery of the purchased Digital Product, Block2Learn may investigate the issue before determining whether any refund, access restoration, technical correction, alternative access, credit or other remedy is appropriate or legally required.

The Customer acknowledges that a technical issue does not automatically constitute non delivery. Digital Delivery may still have occurred where access was activated, membership rights were assigned, subscription access was enabled, Learning Path access was opened, Framework access was granted, Dashboard access was available or the product was otherwise technically accessible through the Platform.

For a technical failure to be considered relevant to refund eligibility under this Section, the issue must materially prevent the Customer from receiving initial access to the purchased Digital Product and must not be caused primarily by the Customer’s own device, browser, internet connection, email settings, login credentials, account misuse, technical environment, failure to follow instructions or failure to cooperate with support.

The Customer must promptly notify Block2Learn of the alleged technical failure and provide sufficient information to allow investigation. Such information may include screenshots, error messages, browser details, device details, account email, order confirmation, payment confirmation, access attempts, technical descriptions and any other information reasonably requested by Block2Learn.

Where the technical failure is verified and prevents initial Digital Delivery, Block2Learn may first attempt to correct the issue, restore access, provide alternative access, manually activate the relevant product, provide a replacement access method, extend access where appropriate or otherwise resolve the problem before any refund is considered.

The Customer acknowledges that Block2Learn shall be given a reasonable opportunity to investigate and remedy alleged technical delivery failures before the Customer initiates a chargeback, payment dispute or legal claim.

Temporary technical issues, delays, maintenance, plugin conflicts, hosting interruptions, third party service disruptions, email delivery issues, browser issues or other correctable problems shall not automatically create refund rights where access can be restored or made available within a reasonable time.

8.7 Good Faith Resolution

Block2Learn may, at its discretion and without admitting liability, attempt to resolve refund related issues through good faith measures, including technical assistance, access restoration, alternative access, account correction, duplicate account review, membership restoration, subscription correction, credit, product replacement, access extension or other reasonable remedies.

The Customer acknowledges that such good faith remedies are discretionary unless required by applicable law and do not create an automatic right to refund, compensation, damages or future equivalent treatment.

A good faith resolution offered in one case shall not constitute a precedent, general policy, waiver, legal obligation or admission that similar remedies must be provided in other cases.

Block2Learn reserves the right to evaluate each request individually based on the product purchased, the timing of the request, the Customer’s account status, access status, payment status, cooperation, available records, applicable law and the broader contractual framework.

The Customer agrees that where Block2Learn offers a reasonable technical, access based or operational solution, the Customer shall cooperate in good faith before escalating the matter to a chargeback, payment dispute or legal claim.

Failure by the Customer to cooperate with a reasonable proposed resolution may be considered when evaluating refund eligibility, chargeback evidence, abuse prevention measures and future access restoration requests.

8.8 Mandatory Consumer Rights

Nothing in this Policy shall exclude, restrict or limit mandatory consumer rights that cannot lawfully be excluded, restricted or limited.

Where mandatory applicable law grants the Customer a refund, withdrawal right, correction, replacement, remedy or other protection that cannot be waived, Block2Learn shall comply to the extent strictly required by law.

The Customer acknowledges, however, that mandatory consumer rights must be interpreted together with the nature of the purchased product, Digital Delivery, Immediate Access, Immediate Performance, checkout acknowledgements, express consent, digital content exceptions, digital service exceptions and the specific facts of the transaction.

The preservation of mandatory consumer rights does not prevent Block2Learn from relying upon lawful exceptions, procedural requirements, evidence requirements, verification requirements, abuse prevention measures, chargeback defenses or contractual protections available under applicable law.

Where any part of this Policy is determined to be unenforceable in relation to a mandatory consumer right, the remainder of this Policy shall continue to apply to the maximum extent permitted by law.

8.9 Cases Expressly Required by Law

Refunds shall be provided in any case where a competent legal rule, court, regulator, payment authority or other legally binding requirement expressly requires Block2Learn to provide a refund.

In such cases, the refund shall be limited to the amount, scope, timing and method required by the applicable legal obligation.

Where legally permissible, Block2Learn may require verification of the Customer’s identity, purchase, payment method, account ownership and refund entitlement before processing any refund.

Refunds required by law may be processed through the original payment method or another lawful and reasonably available method, subject to payment provider rules, technical feasibility, anti fraud controls and legal requirements.

The Customer acknowledges that a refund required in one specific case shall not create a general refund policy applicable to other Customers, other products, other transactions or other factual circumstances.

9. MEMBERSHIP REFUND RULES

9.1 Membership Activation

Where the purchased product includes Membership access, the Customer acknowledges that Membership activation may occur immediately or substantially immediately following successful purchase, payment confirmation or account assignment.

Membership activation may provide access to protected content, educational materials, Learning Path components, Framework resources, Dashboards, guides, videos, research materials, member areas and other digital resources.

To the maximum extent permitted by applicable law, once a Membership has been activated and access has been made available, refunds shall generally not be available solely because the Customer decides not to use the Membership, uses it only partially, does not complete available resources, does not access every benefit, changes mind or becomes dissatisfied with the Membership.

The Customer acknowledges that Memberships are access based services and that activation of access rights may constitute Digital Delivery and Immediate Performance.

9.2 Access Based Services

Memberships are access based services.

The Customer purchases access to a defined digital environment or set of benefits rather than ownership of individual content items.

The Customer acknowledges that the value of Membership access exists in the availability of the Membership environment, even if the Customer chooses not to use every available resource.

The Customer further acknowledges that Membership benefits may change, evolve, expand, be reorganized, be redesigned, be replaced or be modified over time in accordance with the Terms of Service, the Digital Products Sales Agreement and the Membership and Subscription Policy.

Such evolution shall not automatically create refund rights where the Customer continues to receive access to substantially equivalent Membership benefits or where changes are made for legitimate educational, technical, legal, operational or business reasons.

9.3 Immediate Availability

Membership access may become available immediately after purchase.

The Customer acknowledges that immediate Membership availability may trigger the same refund and withdrawal consequences applicable to other Digital Products and Digital Services.

Where the Customer expressly requested Immediate Access or Immediate Performance and Membership access was activated, the Customer’s withdrawal rights may be lost, excluded or limited to the maximum extent permitted by applicable law.

The Customer further acknowledges that the ability to access the Membership environment, even without actual usage, may constitute Digital Delivery and commencement of performance.

9.4 No Partial Refunds

Unless required by applicable law or expressly stated by Block2Learn, partial refunds shall not be granted for Memberships merely because the Customer used the Membership for only part of the access period, accessed only part of the available content, did not use all Membership benefits or cancelled after access had already been granted.

The Customer acknowledges that Membership pricing is based upon access rights and availability rather than actual usage volume.

The Customer further acknowledges that once the Membership has been activated, Block2Learn has provided access to the digital service purchased by the Customer.

Partial non use, limited engagement or selective use shall not create automatic entitlement to a partial refund.

9.5 No Refund for Unused Access

Refunds shall not be available solely because the Customer did not use available Membership access.

The Customer acknowledges that access was made available for the Customer’s use and that the decision not to use the Membership remains within the Customer’s control.

Failure to log in, failure to study, failure to follow the Learning Path, failure to watch videos, failure to read guides, failure to use Dashboards, failure to apply Framework tools or failure to engage with Membership benefits shall not invalidate delivery or create refund rights.

Block2Learn is not responsible for the Customer’s time management, motivation, discipline, priorities or personal circumstances affecting use of the Membership.

9.6 Cancellation Does Not Create Refund Rights

Cancellation of a Membership does not automatically create a right to refund amounts already paid.

Cancellation may stop future access, future renewals or future billing depending on the type of Membership and the applicable Membership and Subscription Policy.

The Customer acknowledges that cancellation is not equivalent to withdrawal from a completed transaction where Digital Delivery has already occurred and Immediate Performance has already begun.

Where cancellation occurs after Membership activation, access may continue until the end of the applicable access period or may terminate depending on the relevant product terms, account status, payment status and applicable policy.

Unless required by law, amounts already paid for activated Membership access shall not be refunded solely because the Customer cancels.

9.7 Membership Suspension and Refund Eligibility

Where Membership access is suspended due to the Customer’s breach of the legal framework, failed payment, chargeback, payment dispute, account sharing, fraud, intellectual property violation, abuse, misuse, unauthorized access or violation of Platform rules, the Customer shall not be entitled to a refund merely because access has been suspended.

The Customer acknowledges that suspension may be necessary to protect Block2Learn, other Users, payment systems, intellectual property, Platform security and the integrity of digital products.

Where suspension results from the Customer’s own conduct, the Customer shall not use such suspension as a basis for refund, withdrawal, chargeback or compensation.

Nothing in this Section shall limit mandatory rights that cannot be excluded under applicable law.

10. SUBSCRIPTION REFUND RULES

10.1 Recurring Services

The Customer acknowledges that certain products or services offered through the Platform may be provided through a recurring Subscription model.

A Subscription may grant continuing access to Digital Products, educational resources, Learning Path components, Framework resources, Dashboards, research materials, member areas, software functionality, future content releases, premium content environments or other digital services for the duration of the applicable Subscription period.

The Customer further acknowledges that a Subscription constitutes an ongoing access arrangement rather than a transfer of ownership of content, software, intellectual property or Platform infrastructure.

Subscription fees are charged in consideration of access rights made available during the applicable Subscription period and not solely in consideration of actual usage by the Customer.

Accordingly, the Customer’s decision to use the Subscription extensively, minimally or not at all shall not alter the nature of the Subscription relationship.

10.2 Subscription Activation

A Subscription may be activated immediately or substantially immediately following successful purchase, payment authorization, renewal processing or account activation.

The Customer acknowledges that Subscription activation may immediately provide access to protected resources, educational content, Learning Path materials, Framework resources, Dashboards, software tools, premium content or other Subscription benefits.

Where access becomes available following activation, Digital Delivery and Immediate Performance may be deemed to have commenced.

The Customer further acknowledges that Subscription activation may occur through automated systems without manual intervention by Block2Learn.

To the maximum extent permitted by applicable law, activation of Subscription access may affect withdrawal rights and refund eligibility.

10.3 Cancellation Before Renewal

Where a Subscription includes recurring billing, the Customer may cancel future renewals in accordance with the procedures established by Block2Learn.

Cancellation of future renewals prevents future recurring charges but does not automatically create refund rights for Subscription periods that have already begun, been activated or been made available.

The Customer acknowledges that responsibility for managing renewal preferences rests with the Customer.

The Customer further acknowledges that failure to cancel before a renewal date does not automatically create a refund right once the renewal transaction has been processed and access has been continued.

Unless required by applicable law, completed renewal transactions shall generally be treated in the same manner as other Digital Product purchases for purposes of refund eligibility.

10.4 No Retroactive Refunds

Refunds shall not generally be available on a retroactive basis for Subscription periods that have already been activated, made available or partially consumed.

The Customer acknowledges that Subscription services are provided continuously throughout the applicable Subscription period and that access rights remain available regardless of the extent to which the Customer actively uses the service.

Accordingly, the Customer shall not be entitled to retroactive refunds solely because the Customer did not log in, did not access content, did not use available features, forgot about the Subscription, changed personal priorities or otherwise failed to make use of the service.

The Customer further acknowledges that retroactive refund requests create evidentiary and operational difficulties because access may have remained available throughout the relevant period.

10.5 No Refund for Unused Subscription Periods

Refunds shall not be available solely because the Customer failed to use all or part of an active Subscription period.

The Customer acknowledges that Subscription fees compensate Block2Learn for maintaining access, availability, infrastructure, educational resources, support systems, Membership systems, Learning Path environments, Framework systems, Dashboard functionality and related services throughout the Subscription period.

The Customer further acknowledges that the value of a Subscription is derived from the availability of access and not exclusively from actual usage.

Failure to access available resources shall not invalidate the Subscription or create refund rights.

10.6 No Refund for Failure to Access Content

Refunds shall not be available solely because the Customer claims not to have accessed content where access was in fact available through the Platform.

The Customer acknowledges that Digital Delivery is based upon availability of access rather than proof of actual consumption.

The Customer further acknowledges that Block2Learn cannot reasonably monitor every decision made by the Customer regarding whether to log in, review content, access resources or utilize Subscription benefits.

Where Subscription access was available, the Customer’s decision not to access content shall not constitute non delivery.

10.7 Failed Usage Does Not Create Refund Rights

Refunds shall not be available solely because the Customer failed to use the Subscription effectively, failed to understand available content, failed to complete educational materials, failed to achieve educational objectives, failed to achieve professional objectives or failed to achieve financial objectives.

The Customer acknowledges that successful use of educational products depends upon numerous factors beyond the reasonable control of Block2Learn.

The Customer further acknowledges that access to educational resources does not guarantee educational success, implementation success, behavioral change, decision making improvement, business improvement, investment success or any other specific outcome.

Accordingly, unsuccessful usage shall not create refund eligibility.

10.8 Subscription Termination and Refund Eligibility

Where a Subscription is terminated, suspended, cancelled, expires, lapses or otherwise ends, refund eligibility shall be determined in accordance with this Policy, the Terms of Service, the Digital Products Sales Agreement and any applicable Subscription specific terms.

Termination of a Subscription does not automatically establish that a refund is owed.

The Customer acknowledges that access may end for numerous reasons, including cancellation, expiration, payment failure, chargeback activity, fraud prevention measures, account violations, platform security measures, legal compliance requirements or other circumstances permitted under the contractual framework.

Where access has already been provided and performance has already commenced, termination shall not automatically create a refund obligation.

11. LIFETIME ACCESS PRODUCTS

11.1 Nature of Lifetime Access

The Customer acknowledges that certain Digital Products offered through the Platform may be sold on a one time purchase basis and may include Lifetime Access rights.

For purposes of the Block2Learn legal framework, Lifetime Access means access granted for the commercial life of the applicable Digital Product and the continued operation of the Platform, subject to the Terms of Service, the Digital Products Sales Agreement, this Policy and all other applicable legal documents.

The Customer acknowledges that Lifetime Access does not constitute ownership of the Digital Product, ownership of content, ownership of software, ownership of Platform infrastructure, ownership of educational resources or ownership of any intellectual property belonging to Block2Learn.

Lifetime Access grants access rights only and shall not be interpreted as a perpetual ownership right.

11.2 Lifetime Access Does Not Mean Perpetual Availability

The Customer acknowledges that Lifetime Access does not mean perpetual availability of identical content, identical features, identical interfaces, identical Dashboards, identical Framework components, identical Learning Path structures, identical educational resources or identical technological implementations.

Technology evolves, educational products evolve, software evolves and educational methodologies evolve.

Accordingly, Block2Learn reserves the right to modify, update, redesign, restructure, reorganize, expand, reduce, replace, migrate, modernize or otherwise evolve any Lifetime Access Product.

The Customer acknowledges that Lifetime Access refers to access rights within an evolving educational ecosystem and not to a guarantee that a specific product will remain unchanged indefinitely.

11.3 Lifetime Access Subject to Platform Evolution

The Customer acknowledges that Block2Learn operates as a dynamic educational platform.

Digital Products may be updated, expanded, rewritten, redesigned, restructured, merged with other products, incorporated into larger educational environments, divided into multiple products, converted into Membership environments, integrated into Learning Paths, integrated into Framework systems or otherwise modified over time.

Such changes may occur for educational, technological, commercial, legal, operational, security, regulatory or strategic reasons.

The Customer acknowledges that Platform evolution is an inherent characteristic of digital educational products and shall not automatically create refund rights, withdrawal rights, compensation rights or chargeback rights.

11.4 No Refund After Lifetime Access Activation

To the maximum extent permitted by applicable law, refunds shall not be available solely because a Lifetime Access Product has been purchased and subsequently activated.

The Customer acknowledges that activation of Lifetime Access may constitute Digital Delivery and Immediate Performance.

Once access has been granted, the Customer may immediately obtain access to proprietary educational content, methodologies, Framework resources, Learning Path resources, Dashboards, videos, guides, research materials and other protected resources.

Accordingly, the Customer acknowledges that the activation of Lifetime Access may significantly affect refund eligibility and withdrawal rights.

11.5 Account Responsibility

The Customer is responsible for maintaining access to the account associated with the Lifetime Access Product.

This responsibility includes maintaining access to account credentials, associated email addresses, authentication methods and other account related information reasonably necessary to access the purchased product.

The Customer acknowledges that Block2Learn cannot guarantee uninterrupted access where the Customer loses account credentials, loses access to email accounts, abandons accounts, changes personal information without updating account records or otherwise fails to maintain control of the account.

11.6 Account Recovery and Ownership Verification

Where a Customer requests restoration of access to a Lifetime Access Product, Block2Learn may require verification of account ownership before providing assistance.

Such verification may include confirmation of identity, purchase records, payment records, transaction confirmations, billing information, account information, support history or other evidence reasonably necessary to establish ownership of the account and entitlement to access.

The Customer acknowledges that Block2Learn may refuse restoration requests where ownership cannot be reasonably verified.

The Customer further acknowledges that restoration procedures may require investigation, manual review, communication with payment providers, review of historical records or other verification measures.

Accordingly, restoration may not occur immediately and may require a reasonable period of time to complete.

11.7 Customer Responsibility to Retain Proof of Purchase

The Customer is responsible for retaining reasonable records relating to purchases made through the Platform.

Such records may include transaction confirmations, payment receipts, invoices, order confirmations, account information, Membership confirmations, Subscription confirmations, confirmation emails and other documentation reasonably capable of demonstrating ownership of a purchased Digital Product.

The Customer acknowledges that Block2Learn may rely upon such information when investigating account ownership, restoring access, verifying purchase history, resolving disputes, responding to support requests, processing account recovery requests or evaluating future claims relating to Lifetime Access Products.

Where account ownership, purchase history or entitlement to access cannot be reasonably verified through available records, Block2Learn reserves the right to deny access restoration requests, delay restoration procedures, request additional verification or decline to take action until sufficient evidence is provided.

The Customer further acknowledges that failure to retain reasonable proof of purchase may delay, complicate or prevent restoration of access where ownership cannot otherwise be reasonably established.

The provisions of this Section shall survive account termination, product discontinuation, Platform migration, Platform restructuring, corporate transitions and other future changes affecting the Platform.

11.8 Third Party Technology Dependencies

The Customer acknowledges that Lifetime Access Products may depend in whole or in part upon third party technologies, plugins, integrations, APIs, hosting providers, communication providers, software systems, cloud infrastructure providers or other external services.

Block2Learn does not guarantee that every third party technology utilized at the time of purchase will remain available indefinitely.

Where a third party service becomes unavailable, incompatible, commercially impractical, legally restricted or permanently discontinued, Block2Learn may modify, replace, redesign, migrate or discontinue affected functionality.

The Customer acknowledges that such circumstances shall not automatically create refund rights where the core educational value of the product remains available or where reasonable alternative solutions are implemented.

11.9 Product Discontinuation

Block2Learn reserves the right, at any time and for any reason, to modify, replace, merge, discontinue, retire, suspend, restructure, migrate, consolidate or permanently remove any Digital Product, Learning Path component, Framework component, Dashboard, educational resource, Membership, Subscription or other offering made available through the Platform.

The Customer acknowledges that Lifetime Access does not constitute a guarantee that a specific product, feature, guide, Dashboard, interface, educational pathway or service will remain available indefinitely in its original form.

Where reasonably possible, Block2Learn may provide replacement content, successor products, migrated access, equivalent educational resources or alternative educational solutions.

However, Block2Learn shall not be obligated to maintain identical products, identical content structures, identical educational pathways, identical Dashboards, identical software functionality or identical user experiences indefinitely.

The discontinuation, retirement, replacement, merger, migration or removal of a product shall not automatically create refund rights, compensation rights, damages claims or chargeback rights.

11.10 Platform Closure

The Customer acknowledges that Lifetime Access is provided within the context of an operating digital platform.

Lifetime Access does not constitute a guarantee that Block2Learn, the Platform, its infrastructure, its technology, its educational ecosystem, its business operations or its commercial activities will continue indefinitely.

In the event of permanent cessation of operations, permanent closure of the Platform, insolvency, force majeure, legal impossibility, technological impossibility, commercial impossibility, regulatory prohibition or other circumstances resulting in the permanent discontinuation of the Platform, Lifetime Access rights shall terminate together with the Platform.

The Customer acknowledges that Lifetime Access does not create a perpetual obligation requiring Block2Learn, its operators, successors, affiliates or future entities to operate the Platform indefinitely.

The permanent discontinuation of the Platform shall not automatically create refund rights, compensation rights, damages claims or other financial obligations except where required by mandatory applicable law.

12. LEARNING PATH REFUND RULES

12.1 Educational Nature

The Customer acknowledges that the Learning Path constitutes a structured educational product designed to provide educational frameworks, analytical methodologies, decision making systems, educational resources, conceptual models, operational processes, learning experiences and educational progression pathways.

The Learning Path is intended to assist Customers in developing knowledge, understanding, analytical capabilities, decision making skills and educational competencies through a structured learning environment.

The Customer acknowledges that the Learning Path is educational in nature and does not constitute investment advisory services, portfolio management services, financial planning services, legal services, accounting services, tax advisory services, professional certification services or regulated educational services unless expressly stated otherwise.

The Customer further acknowledges that educational products provide opportunities for learning rather than guarantees of achievement.

Accordingly, refund eligibility shall not be determined by whether the Customer achieves any particular educational, professional, financial, commercial or personal objective.

12.2 Access Based Delivery

The Customer acknowledges that the Learning Path is delivered through access rather than through physical delivery.

Digital Delivery occurs when access to the relevant Learning Path resources becomes available through the Platform.

Such access may include educational guides, videos, Dashboards, Framework integrations, educational resources, assessments, progress systems, interactive resources, future updates and other Learning Path components.

The Customer further acknowledges that Learning Path delivery is not dependent upon completion of lessons, completion of guides, completion of modules, completion of educational exercises, completion of assessments, completion of milestones or achievement of educational objectives.

Where Learning Path access has been activated, Digital Delivery may be considered completed even if the Customer never progresses beyond the initial stage of the Learning Path.

The Customer acknowledges that educational access itself constitutes a substantial and material component of contractual performance.

12.3 Progress Tracking Does Not Affect Refund Eligibility

The Customer acknowledges that progress tracking systems are educational tools intended to assist organization, motivation, navigation and educational awareness.

Progress indicators, completion percentages, achievement systems, milestones, checkpoints, badges, educational statistics, completion records and similar features do not determine whether Digital Delivery has occurred.

Refund eligibility shall not depend upon whether the Customer has completed 1%, 10%, 50%, 90% or 100% of the Learning Path.

The Customer further acknowledges that incomplete progress, slow progress, interrupted progress, abandoned progress or failure to complete the Learning Path does not establish non delivery, defective performance, breach of contract or refund entitlement.

Progress tracking is an educational feature and not a legal measure of contractual performance.

12.4 Dashboard Activity Does Not Affect Refund Eligibility

The Customer acknowledges that Dashboard activity is separate from refund eligibility.

Whether the Customer actively uses Dashboards, partially uses Dashboards, ignores Dashboards or never accesses Dashboard functionality shall not determine whether Digital Delivery occurred.

The Customer further acknowledges that Dashboard metrics, progress statistics, completion indicators, assessment results, engagement levels and usage records are educational features intended to support learning and not mechanisms for determining refund entitlement.

Accordingly, Dashboard activity or inactivity shall not, by itself, create refund rights.

12.5 No Guarantee of Educational Outcomes

Block2Learn does not guarantee educational outcomes.

The Customer acknowledges that educational progress depends upon numerous factors beyond the reasonable control of Block2Learn, including attention, effort, discipline, consistency, study habits, comprehension, retention, experience, practical application, personal circumstances, motivation, intellectual engagement and willingness to learn.

Accordingly, Block2Learn shall not be obligated to provide refunds because a Customer believes that educational progress was insufficient, slower than expected, more difficult than expected or otherwise inconsistent with personal expectations.

The Customer further acknowledges that educational products provide opportunities for learning rather than guaranteed educational outcomes.

12.6 No Guarantee of Professional Outcomes

Block2Learn does not guarantee professional outcomes.

The Customer acknowledges that completion of Learning Path materials does not guarantee employment, promotion, consulting opportunities, business opportunities, entrepreneurial success, professional recognition, career advancement or any other professional result.

Professional outcomes depend upon numerous factors beyond the control of Block2Learn.

Accordingly, dissatisfaction with professional outcomes shall not create refund eligibility.

12.7 No Guarantee of Financial Outcomes

Block2Learn does not guarantee financial outcomes.

The Customer acknowledges that no Learning Path, educational resource, Framework, Dashboard, Membership, Subscription or Digital Product offered through the Platform guarantees profits, wealth creation, investment success, portfolio growth, trading success, capital appreciation, income generation, financial independence or financial improvement.

The Customer further acknowledges that financial markets involve uncertainty, risk, volatility and factors beyond the control of Block2Learn.

Accordingly, failure to achieve desired financial results shall not create refund rights.

12.8 No Guarantee of Personal Outcomes

Block2Learn does not guarantee personal outcomes.

The Customer acknowledges that personal development, behavioral change, confidence, discipline, consistency, decision making improvement, mindset development, habit formation, emotional control and related personal outcomes depend upon factors beyond the reasonable control of Block2Learn.

Educational resources may support personal growth but cannot guarantee it.

Accordingly, dissatisfaction with personal outcomes shall not constitute grounds for refund, withdrawal, compensation or chargeback.

12.9 Completion Status and Refund Eligibility

Refund eligibility shall not be determined by completion status.

Whether the Customer completes the Learning Path, partially completes the Learning Path, abandons the Learning Path, pauses the Learning Path, delays progression, fails assessments, skips content or never begins the Learning Path, the relevant consideration remains whether access was provided and whether Digital Delivery and Immediate Performance occurred.

The Customer acknowledges that completion status is an educational metric rather than a contractual metric.

Accordingly, completion status shall not, by itself, create refund rights, withdrawal rights, compensation rights, damages claims or chargeback rights.

The Customer further acknowledges that the contractual obligations associated with the Learning Path are substantially satisfied when access is made available through the Platform, regardless of the extent to which the Customer chooses to engage with the educational content.

13. CHARGEBACKS AND PAYMENT DISPUTES

13.1 Obligation to Contact Support First

Before initiating a chargeback, payment dispute, card dispute, payment reversal, bank claim or similar procedure, the Customer agrees to first contact Block2Learn and provide a reasonable opportunity to investigate and address the matter.

The Customer acknowledges that many issues can be resolved through customer support, technical assistance, account verification, access restoration, billing review, duplicate payment review, transaction verification or other good faith resolution procedures.

The Customer further acknowledges that initiating a chargeback without first attempting to resolve the matter directly with Block2Learn may unnecessarily increase costs, administrative burdens and risks for all parties involved.

Nothing in this Section shall limit rights that cannot be limited under applicable law.

13.2 Internal Review Procedure

Upon receiving a refund request, payment complaint, billing complaint, access complaint or similar inquiry, Block2Learn may conduct an internal review of the matter before determining whether any refund, correction, access restoration, account adjustment or other remedy is appropriate.

Such review may include examination of account records, transaction records, payment records, support communications, login records, access records, Membership records, Subscription records, Learning Path records, Dashboard records, activation records and other information reasonably relevant to the matter.

The Customer agrees to cooperate with any reasonable review process.

The Customer further acknowledges that Block2Learn may require a reasonable period of time to conduct such review before reaching a determination.

13.3 Chargeback Investigation

Where a chargeback, payment dispute or transaction reversal is initiated, Block2Learn reserves the right to investigate the circumstances surrounding the transaction.

Such investigation may include review of purchase records, checkout records, account records, access records, activation records, login activity, communication history, support history, Membership records, Subscription records, Learning Path records, Framework records, Dashboard records and other evidence reasonably available to Block2Learn.

The Customer acknowledges that a chargeback claim does not automatically establish that a refund is owed.

The Customer further acknowledges that Block2Learn may actively contest chargebacks where the available evidence indicates that Digital Delivery occurred, Immediate Access was granted, Immediate Performance commenced, contractual obligations were performed or the chargeback otherwise lacks factual or legal basis.

13.4 Fraudulent Chargebacks

The Customer agrees not to initiate fraudulent, abusive, misleading or bad faith chargebacks.

A chargeback may be considered fraudulent or abusive where the Customer received access to the purchased Digital Product, accessed Membership benefits, accessed Subscription benefits, accessed Learning Path materials, accessed Framework resources, knowingly completed the transaction, falsely claims that a transaction was unauthorized, falsely claims that delivery never occurred or falsely claims that access was never provided.

The Customer acknowledges that fraudulent chargebacks may result in account suspension, account termination, denial of future purchases, recovery actions and other measures permitted by law.

The Customer further acknowledges that the existence of a chargeback mechanism does not create a right to reverse valid purchases after Digital Delivery and Immediate Performance have occurred.

13.5 Abusive Chargebacks

The Customer acknowledges that chargeback systems are intended to protect consumers against genuine payment issues and not to serve as substitutes for refund policies, cancellation policies or contractual obligations.

Accordingly, use of chargeback procedures as a means of avoiding contractual obligations, obtaining free access to Digital Products, reversing valid purchases or circumventing this Policy may constitute abuse.

Block2Learn reserves the right to take reasonable measures to protect its business, intellectual property, customers, systems and contractual rights against abusive chargeback activity.

Repeated chargeback activity, repeated payment disputes, repeated refund abuse or patterns of bad faith conduct may be considered when evaluating future transactions, access rights, Membership eligibility, Subscription eligibility and account status.

13.6 Suspension During Investigation

Where a chargeback, payment dispute, transaction reversal, fraud investigation or billing investigation is initiated, Block2Learn may suspend access to the relevant Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards or related services pending resolution of the matter.

The Customer acknowledges that continued access during an active payment dispute may create additional risks, losses, administrative burdens and evidentiary complications.

Accordingly, temporary suspension may be implemented as a protective measure and shall not, by itself, create refund rights, compensation rights or liability on the part of Block2Learn.

The Customer further acknowledges that suspended access may remain suspended until the dispute has been fully resolved.

13.7 Recovery of Costs and Fees

Where permitted by applicable law, Block2Learn reserves the right to recover reasonable costs, fees, expenses, administrative charges, processor penalties, investigation costs, professional fees and other losses arising from fraudulent, abusive or bad faith chargebacks.

The Customer acknowledges that payment processors, card networks, financial institutions and other payment service providers may impose fees, penalties and administrative costs on merchants in connection with disputed transactions.

Where a chargeback is determined to be fraudulent, abusive, misleading or unsupported by the available evidence, Block2Learn may seek recovery of such losses to the maximum extent permitted by applicable law.

The Customer further acknowledges that this Section is intended to protect Block2Learn against misuse of payment dispute systems and not to restrict legitimate consumer rights.

13.8 Permanent Closure Following Fraudulent Chargebacks

Where a chargeback is determined by Block2Learn to be fraudulent, abusive, misleading, intentionally deceptive or otherwise made in bad faith, Block2Learn may permanently terminate the Customer’s account and revoke access to Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards and related services.

The Customer acknowledges that fraudulent chargeback activity undermines the trust necessary for the operation of a digital educational platform.

Accordingly, Block2Learn reserves the right to refuse future purchases, future registrations, future Membership applications, future Subscription applications and future access requests from Customers who engage in fraudulent or abusive chargeback conduct.

Nothing in this Section shall limit any additional remedies available under applicable law.

13.9 Submission of Evidence to Payment Processors

The Customer acknowledges that Block2Learn may submit evidence, records, documentation, communications and other information to payment processors, card issuers, financial institutions, payment networks, dispute resolution providers and competent authorities in connection with chargebacks, payment disputes, fraud investigations or related proceedings.

Such evidence may include purchase records, checkout records, account records, login records, access records, Membership records, Subscription records, Learning Path records, Framework records, Dashboard records, support communications, confirmation emails, payment confirmations, acceptance records and other information reasonably relevant to the dispute.

The Customer acknowledges that submission of such evidence is a legitimate and necessary part of defending against disputed transactions.

13.10 Electronic Records as Evidence

The Customer acknowledges that electronic records may be used as evidence in connection with refund requests, withdrawal requests, payment disputes, chargebacks, legal proceedings, regulatory inquiries and other dispute resolution procedures.

Such records may include account records, purchase records, payment records, checkout records, access records, activation records, login records, Membership records, Subscription records, Learning Path records, Dashboard records, support communications, email records, technical records and other information maintained by Block2Learn.

To the maximum extent permitted by applicable law, the Customer agrees that such records may constitute valid evidence of contractual acceptance, Digital Delivery, Immediate Access, Immediate Performance, access activation, account ownership and other relevant facts.

The Customer further acknowledges that electronic commerce necessarily relies upon electronic records and that such records may be relied upon in resolving disputes.

13.11 Preservation of Legal Remedies

Nothing in this Policy shall prevent Block2Learn from exercising any legal, contractual, equitable or statutory rights available under applicable law.

Block2Learn reserves the right to pursue recovery of losses, enforce contractual obligations, defend disputed transactions, protect intellectual property, protect Platform integrity and seek any remedy available under the Block2Learn legal framework or applicable law.

The Customer acknowledges that the procedures described in this Section supplement and do not replace other rights and remedies available to Block2Learn.

The provisions of this Section shall survive account closure, Membership termination, Subscription termination, product discontinuation and termination of the contractual relationship between the Customer and Block2Learn.

14. REFUND REQUEST PROCEDURE

14.1 Contact Requirements

Any Customer seeking a refund, billing correction, payment review, transaction investigation or other refund related determination must contact Block2Learn through the support channels designated by the Platform.

The Customer acknowledges that refund requests should be submitted directly to Block2Learn before initiating chargebacks, payment disputes, bank claims or other external dispute procedures.

Refund requests must be made in good faith and must contain sufficient information to permit identification of the relevant transaction and evaluation of the request.

The Customer further acknowledges that Block2Learn cannot reasonably evaluate incomplete, anonymous, misleading, fraudulent or unsupported refund requests.

14.2 Required Information

A refund request may require the Customer to provide information reasonably necessary to identify the transaction and evaluate the request.

Such information may include the Customer’s name, account information, registered email address, order number, transaction identifier, payment date, payment method, product purchased, Membership information, Subscription information, supporting documentation and a description of the issue giving rise to the request.

The Customer acknowledges that Block2Learn may request additional information where reasonably necessary to investigate the matter.

Failure to provide reasonably requested information may delay or prevent review of the request.

14.3 Identity Verification

Block2Learn reserves the right to verify the identity of any person requesting a refund, transaction review, payment correction, account restoration or other account related action.

The Customer acknowledges that identity verification may be necessary to prevent fraud, unauthorized account access, payment abuse, account theft, false claims, chargeback abuse and other forms of misconduct.

Verification procedures may include review of account records, payment records, transaction history, communication history, identity information, account ownership information and other evidence reasonably necessary to establish entitlement to the requested action.

The Customer further acknowledges that Block2Learn may refuse to process a refund request where ownership of the account or transaction cannot be reasonably verified.

14.4 Transaction Verification

Block2Learn reserves the right to verify the validity of the transaction before issuing any refund, correction, credit or other remedy.

Such verification may include review of payment records, account records, access records, Membership records, Subscription records, Learning Path records, Framework records, Dashboard records, support records, technical records and other information reasonably relevant to the transaction.

The Customer acknowledges that transaction verification is necessary to ensure that refunds are issued only where appropriate and to prevent abuse of refund systems.

Verification procedures shall not be interpreted as evidence that a refund is owed.

14.5 Investigation Process

Where a refund request is submitted, Block2Learn may conduct an investigation into the circumstances surrounding the request.

Such investigation may include review of contractual records, legal acknowledgements, checkout confirmations, Digital Delivery records, access records, account activity, technical information, communications, payment records and any other information reasonably relevant to the matter.

The Customer agrees to cooperate with any reasonable investigation.

The Customer further acknowledges that investigation may require time and that Block2Learn may need to gather information from multiple internal or external sources before reaching a determination.

14.6 Additional Documentation

Block2Learn may request additional documentation where reasonably necessary to evaluate a refund request.

Such documentation may include payment confirmations, bank records, card statements, screenshots, technical information, account information, proof of identity, communication records or other evidence relevant to the request.

The Customer acknowledges that refusal to provide reasonably requested documentation may prevent Block2Learn from fully evaluating the request.

Block2Learn shall not be obligated to make a determination based upon incomplete information where additional documentation is reasonably required.

14.7 Response Time

Block2Learn shall endeavor to review refund requests within a reasonable period of time.

The Customer acknowledges that response times may vary depending upon the complexity of the matter, the availability of records, the need for technical investigation, the need for payment verification, the need for identity verification, support volume and other operational considerations.

No specific response period is guaranteed unless required by applicable law.

The Customer further acknowledges that investigation time does not constitute an admission that a refund is owed.

14.8 Good Faith Cooperation

The Customer agrees to cooperate in good faith throughout the refund review process.

Such cooperation includes providing accurate information, responding to reasonable requests, supplying relevant documentation, avoiding misleading statements and refraining from initiating unnecessary duplicate claims.

The Customer acknowledges that good faith cooperation increases the likelihood of efficient resolution.

Where a Customer acts dishonestly, abusively, fraudulently or obstructively, Block2Learn may consider such conduct when evaluating the request.

14.9 Final Determination

Following review and investigation, Block2Learn may approve the request, deny the request, offer an alternative resolution, provide technical assistance, provide account restoration, provide access restoration, provide transaction correction or take such other action as Block2Learn determines appropriate under the circumstances.

The Customer acknowledges that submission of a refund request does not create an entitlement to a refund.

Any determination shall be made in accordance with this Policy, the Terms of Service, the Digital Products Sales Agreement, applicable law and the facts of the specific case.

The Customer further acknowledges that a decision in one case shall not create a precedent for future cases.

14.10 No Waiver of Rights

Reviewing, investigating or responding to a refund request shall not constitute a waiver of any rights, defenses, protections, limitations or remedies available to Block2Learn under the contractual framework or applicable law.

Block2Learn reserves all rights throughout the refund review process.

The Customer acknowledges that participation in a refund review procedure shall not be interpreted as an admission of liability, admission of fault, admission of non delivery or admission that a refund is required.

The provisions of this Section shall survive account termination, Membership termination, Subscription termination, Learning Path completion, product discontinuation and termination of the contractual relationship between the Customer and Block2Learn.

15. ABUSE PREVENTION

15.1 Purpose of Abuse Prevention Measures

The Customer acknowledges that Block2Learn operates a digital educational platform that relies upon electronic delivery, immediate access, account based permissions, digital services, intellectual property protection and automated systems.

Accordingly, Block2Learn maintains abuse prevention measures designed to protect Customers, Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards, payment systems, intellectual property rights, Platform integrity and business operations.

The Customer further acknowledges that abuse prevention measures are necessary because digital products may be copied, consumed, distributed, accessed and exploited in ways that are fundamentally different from physical goods.

Nothing in this Section shall limit rights that cannot be limited under applicable law.

15.2 Refund Abuse

The Customer agrees not to engage in refund abuse.

Refund abuse includes any attempt to obtain a refund, reversal, credit, payment recovery, chargeback or similar financial benefit through misleading, dishonest, deceptive, manipulative, bad faith or abusive conduct.

Examples of refund abuse may include claiming that content was never delivered when access was available, claiming that a purchase was unauthorized when it was knowingly completed, seeking multiple recoveries for the same transaction, concealing relevant information, submitting knowingly inaccurate statements or attempting to circumvent the contractual framework governing Digital Products.

The Customer acknowledges that refund abuse may result in denial of refund requests, account restrictions, account suspension, account termination, denial of future purchases and other measures permitted by applicable law.

15.3 Repeated Refund Requests

Block2Learn reserves the right to review patterns of repeated refund requests made by a Customer.

The Customer acknowledges that repeated refund requests relating to multiple products, multiple transactions, multiple accounts or recurring purchasing behavior may indicate abuse, misuse or bad faith activity.

Where such patterns are identified, Block2Learn may conduct additional review, request additional verification, restrict access to certain purchasing options, deny future transactions or take other reasonable measures designed to protect the Platform.

The existence of repeated refund requests shall not automatically establish abuse, but may be considered together with other relevant facts and circumstances.

15.4 Fraudulent Claims

The Customer agrees not to submit fraudulent claims in connection with refunds, withdrawals, payments, account ownership, product access, Membership access, Subscription access, Learning Path access, Framework access, Dashboard access or other Platform services.

Fraudulent claims may include knowingly false statements, fabricated evidence, altered documentation, false identity information, false payment information, false allegations of unauthorized transactions, false allegations of non delivery or other intentionally misleading conduct.

The Customer acknowledges that fraudulent claims may result in suspension or termination of access rights and may expose the Customer to legal remedies available under applicable law.

15.5 Abuse of Consumer Rights

The Customer acknowledges that consumer protection laws are intended to protect legitimate consumer interests and not to facilitate abuse of digital commerce systems.

Accordingly, the Customer agrees not to use withdrawal rights, refund procedures, chargeback systems, complaint systems, dispute resolution mechanisms or other legal protections in a manner that is fraudulent, deceptive, abusive or inconsistent with their intended purpose.

The Customer further acknowledges that Block2Learn may defend itself against abusive use of such systems using lawful contractual, procedural and evidentiary protections.

Nothing in this Section shall be interpreted as limiting legitimate consumer rights exercised in good faith.

15.6 Misrepresentation

The Customer agrees not to misrepresent material facts in connection with purchases, refunds, payment disputes, support requests, account ownership claims, access restoration requests or other interactions with Block2Learn.

The Customer acknowledges that Block2Learn relies upon the accuracy of information provided by Customers when evaluating requests and administering the Platform.

Where material misrepresentations are identified, Block2Learn may deny requests, suspend investigations, suspend access, terminate accounts or take other measures reasonably necessary to protect the Platform and its Users.

15.7 Multiple Accounts and Circumvention

The Customer shall not create, use or control multiple accounts for the purpose of circumventing refund limitations, withdrawal rules, Membership restrictions, Subscription restrictions, purchasing restrictions, account suspensions, account terminations or other Platform protections.

The Customer acknowledges that Block2Learn may investigate relationships between accounts where abuse is reasonably suspected.

Where multiple accounts are used to circumvent the contractual framework, Block2Learn may consolidate records, suspend accounts, terminate access rights, deny transactions or take other reasonable measures designed to prevent abuse.

15.8 Access After Refunds, Chargebacks or Reversals

Where a refund, chargeback, payment reversal or similar financial recovery is granted, Block2Learn may revoke, suspend, terminate or restrict access to the associated Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards and related services.

The Customer acknowledges that continued access to products after recovery of payment may create unjust enrichment, intellectual property risks and operational harm.

Accordingly, access rights may be modified or removed following financial reversal of the transaction.

15.9 Platform Protection Measures

Block2Learn reserves the right to implement reasonable technical, operational, administrative, contractual and security measures designed to prevent abuse of the Platform.

Such measures may include account verification procedures, transaction reviews, fraud detection systems, access controls, security systems, identity verification procedures, payment verification procedures, account ownership verification procedures, monitoring systems and other reasonable protective measures.

The Customer acknowledges that such measures are intended to preserve the security, integrity, reliability and sustainability of the Platform.

15.10 Reservation of Rights

The abuse prevention measures described in this Policy are cumulative and not exclusive.

Block2Learn reserves all rights available under the Terms of Service, the Digital Products Sales Agreement, this Policy, applicable law and principles of equity.

The Customer acknowledges that failure by Block2Learn to enforce a particular provision in one instance shall not constitute a waiver of the right to enforce that provision in future situations.

The provisions of this Section shall survive account termination, Membership termination, Subscription termination, product discontinuation, Platform closure and termination of the contractual relationship between the Customer and Block2Learn.

16. LIMITATION OF LIABILITY

16.1 Educational Services Only

The Customer acknowledges that Block2Learn provides educational and informational products and services only.

All Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards, guides, videos, research materials, educational tools, methodologies, analytical models and related resources are intended solely for educational purposes.

The Customer further acknowledges that Block2Learn does not provide regulated investment advisory services, portfolio management services, wealth management services, legal services, accounting services, tax advisory services, brokerage services, fiduciary services or other regulated professional services unless expressly stated otherwise in a separate written agreement.

Accordingly, the Customer remains solely responsible for all decisions, actions and outcomes arising from the use of educational materials provided through the Platform.

16.2 No Financial Liability

To the maximum extent permitted by applicable law, Block2Learn shall not be liable for any financial losses, investment losses, trading losses, portfolio losses, market losses, liquidity losses, opportunity costs, tax liabilities, transaction costs, business losses, commercial losses or other financial consequences incurred by the Customer.

The Customer acknowledges that financial markets involve uncertainty, volatility and risk.

The Customer further acknowledges that educational content cannot eliminate investment risk, trading risk, business risk or decision making risk.

Accordingly, the Customer accepts sole responsibility for evaluating and implementing any decisions influenced by information obtained through the Platform.

16.3 No Educational Outcome Liability

Block2Learn does not guarantee educational success.

The Customer acknowledges that educational progress depends upon factors beyond the reasonable control of Block2Learn, including attention, effort, discipline, consistency, study habits, comprehension, experience, personal circumstances, technical ability and willingness to learn.

Accordingly, Block2Learn shall not be liable where the Customer fails to complete the Learning Path, fails to understand educational materials, fails to improve analytical skills, fails to improve decision making, fails to retain information or fails to achieve expected educational outcomes.

The Customer further acknowledges that educational products provide opportunities for learning rather than guaranteed outcomes.

16.4 No Profit Guarantee

Block2Learn does not guarantee profits.

No statement made through the Platform shall be interpreted as a promise, guarantee, assurance, warranty or representation that the Customer will earn profits, generate income, increase wealth, improve investment performance, improve trading performance or achieve any particular financial result.

The Customer acknowledges that profitability depends upon numerous factors outside the control of Block2Learn and that losses are possible in all financial and business activities.

Any examples, illustrations, case studies, educational demonstrations, historical references or hypothetical scenarios presented through the Platform are provided solely for educational purposes and shall not be interpreted as guarantees of future performance.

16.5 No Success Guarantee

Block2Learn does not guarantee success.

Success may be defined differently by different Customers and may depend upon factors beyond the control of Block2Learn.

The Customer acknowledges that educational resources cannot guarantee personal transformation, business growth, professional advancement, financial improvement, investment success, trading success, entrepreneurial success or achievement of personal objectives.

The Customer further acknowledges that individual outcomes vary substantially and that no educational platform can guarantee specific results.

16.6 No Liability for Third Party Services

The Customer acknowledges that Block2Learn relies upon third party technologies, software providers, hosting providers, payment processors, cloud providers, plugins, APIs, integrations, communication providers, artificial intelligence providers, security providers and other external services.

To the maximum extent permitted by applicable law, Block2Learn shall not be liable for interruptions, failures, incompatibilities, limitations, delays, data losses, service degradations, discontinuations, insolvencies, commercial failures, regulatory restrictions or permanent shutdowns affecting third party services outside the reasonable control of Block2Learn.

The Customer further acknowledges that certain Platform functionalities may depend upon such third party services and that Block2Learn cannot guarantee their continued availability indefinitely.

16.7 No Liability for Technical Interruptions

To the maximum extent permitted by applicable law, Block2Learn shall not be liable for temporary interruptions, temporary unavailability, maintenance periods, hosting outages, infrastructure failures, cyber incidents, software conflicts, plugin failures, API failures, network issues, communication failures or other technical disruptions that may affect access to the Platform.

The Customer acknowledges that no online platform can guarantee uninterrupted operation at all times.

Block2Learn may perform maintenance, upgrades, migrations, repairs, security updates and operational improvements from time to time and shall not be liable for resulting temporary interruptions.

16.8 No Liability for Product Evolution

The Customer acknowledges that Digital Products, Learning Paths, Framework resources, Dashboards, educational materials, Memberships and Subscriptions may evolve over time.

Accordingly, Block2Learn shall not be liable solely because products are updated, expanded, reduced, redesigned, reorganized, migrated, modernized, consolidated, replaced or otherwise modified.

The Customer further acknowledges that product evolution is an inherent characteristic of digital educational platforms.

16.9 Maximum Liability Cap

To the maximum extent permitted by applicable law, the total aggregate liability of Block2Learn arising out of or relating to this Policy, the Platform, any Digital Product, Membership, Subscription, Learning Path, Framework, Dashboard, educational service, support service or related interaction with the Customer shall not exceed the total amount actually paid by the Customer to Block2Learn during the twelve (12) months immediately preceding the event giving rise to the claim.

The limitation set forth in this Section applies collectively to all claims, causes of action, liabilities, damages, losses, costs and expenses, whether arising in contract, tort, negligence, statutory claim, equitable claim or any other legal theory.

The Customer acknowledges that the pricing of Digital Products reflects the allocation of risk established by the Block2Learn legal framework and that Block2Learn would not provide the same products under the same commercial conditions absent the liability limitations contained herein.

Where applicable law does not permit the exclusion or limitation of certain liabilities, this Section shall apply to the maximum extent permitted by such law.

Nothing in this Policy shall exclude or limit liability to the extent that such exclusion or limitation is prohibited by mandatory applicable law.

16.10 Preservation of Mandatory Rights

Nothing in this Policy shall exclude, restrict or limit rights, remedies, protections or liabilities that cannot lawfully be excluded, restricted or limited under mandatory applicable law.

Where a court, regulator or competent authority determines that a particular limitation contained in this Policy cannot be enforced, such limitation shall be modified only to the minimum extent necessary to comply with applicable law.

The remaining provisions shall continue in full force and effect.

The Customer acknowledges that the intent of this Policy is to allocate risk fairly while preserving all mandatory legal protections required by applicable law.

17. GOVERNING LAW AND JURISDICTION

17.1 Governing Law

This Policy, together with the Terms of Service, the Digital Products Sales Agreement and all related legal documents forming part of the Block2Learn legal framework, shall be governed by and interpreted in accordance with the laws of Italy.

The Customer acknowledges that Block2Learn operates from Italy and that Italian law shall govern the contractual relationship between Block2Learn and the Customer except to the extent that mandatory provisions of applicable law require otherwise.

The Customer further acknowledges that references to legal concepts, contractual rights, obligations, remedies, procedures, interpretations and protections contained within the Block2Learn legal framework shall be interpreted in accordance with Italian law unless mandatory applicable law expressly requires a different result.

Nothing in this Section shall deprive consumers of mandatory protections that cannot lawfully be excluded under applicable consumer protection legislation.

17.2 Jurisdiction

Subject to mandatory applicable consumer protection laws, any dispute, controversy, claim, legal proceeding or other matter arising out of or relating to this Policy, the Platform, any Digital Product, Membership, Subscription, Learning Path, Framework, Dashboard, account, transaction, refund request, withdrawal request, payment dispute or contractual relationship with Block2Learn shall be submitted to the competent courts determined in accordance with Italian law.

The Customer acknowledges that Block2Learn may also exercise rights and remedies available under applicable law in any jurisdiction where such remedies may lawfully be pursued.

The provisions of this Section shall be interpreted consistently with applicable consumer protection requirements and mandatory jurisdictional rules.

17.3 Exclusive Jurisdiction Where Permitted

To the maximum extent permitted by applicable law, and subject to mandatory consumer protection provisions, disputes arising from or relating to this Policy shall be subject to the exclusive jurisdiction of the courts having jurisdiction over the registered office of Block2Learn.

The Customer acknowledges that centralized jurisdiction promotes consistency, efficiency, predictability and reduction of unnecessary litigation costs.

Where applicable law grants a consumer the right to bring claims before another competent court, nothing in this Section shall be interpreted as limiting such mandatory rights.

17.4 Good Faith Resolution Before Litigation

Before commencing formal legal proceedings, the Customer agrees to make reasonable efforts to resolve disputes through direct communication with Block2Learn.

The Customer acknowledges that many disputes involving Digital Products, Memberships, Subscriptions, Learning Paths, Framework resources, Dashboards, refunds, payments, access rights and account matters can be resolved through good faith communication and review.

Block2Learn likewise reserves the right to seek good faith resolution before pursuing legal remedies.

Nothing in this Section shall prevent either party from exercising legal rights where necessary to protect legitimate interests or comply with applicable law.

18.1 English Version Prevails

This Policy has been drafted in the English language.

The English language version shall constitute the official and controlling version of this Policy.

The Customer acknowledges that the English version represents the legally authoritative text of this Policy.

18.2 Translations for Convenience Only

Translations are intended to assist understanding and accessibility and do not constitute independent legal versions of the Policy.

Accordingly, reliance upon a translation shall not alter the legal effect of the English version.

18.3 Translation Errors

The Customer acknowledges that translation errors, omissions, ambiguities, inaccuracies, formatting differences or linguistic inconsistencies may occur in translated versions of this Policy.

Such translation issues shall not modify, invalidate, replace or supersede the English language version.

Where a translation differs from the English version, the English version shall control.

18.4 Browser Translation Errors

The Customer acknowledges that browser based translation tools may generate inaccurate, incomplete, misleading or distorted translations.

Block2Learn does not control the operation of browser translation services and shall not be responsible for translation errors generated by such tools.

The Customer further acknowledges that browser generated translations are provided by third party technologies outside the control of Block2Learn.

18.5 AI Translation Errors

The Customer acknowledges that artificial intelligence based translation systems may generate inaccuracies, omissions, contextual errors, interpretative errors, terminology errors or other translation defects.

Block2Learn shall not be responsible for misunderstandings arising from translations generated by artificial intelligence systems that are not directly controlled by Block2Learn.

The Customer further acknowledges that AI generated translations may not accurately reflect legal terminology or contractual intent.

18.6 Machine Translation Errors

The Customer acknowledges that automated translation systems may produce translations that differ materially from the English language version.

Such differences shall not alter the meaning, validity, enforceability or interpretation of this Policy.

The Customer agrees that the English language version shall remain controlling regardless of any machine generated translation.

18.7 Interpretation Discrepancies

Where any discrepancy, ambiguity, inconsistency or conflict arises between the English language version and any translated version of this Policy, the English language version shall govern and control.

The Customer acknowledges that interpretation disputes shall be resolved by reference to the English language version unless mandatory applicable law expressly requires otherwise.

The provisions of this Section shall survive account termination, Membership termination, Subscription termination, product discontinuation, Platform closure and termination of the contractual relationship between the Customer and Block2Learn.
