A new legal battle unfolding in Illinois is drawing sharp attention to the darker corners of the NFT and Bitcoin mining ecosystem. Investors behind the Hashling NFT project and a related Bitcoin mining initiative have filed a lawsuit against project founder Jonathan Mills, accusing him of fraud, misappropriation of funds, and breach of fiduciary duty.
The case alleges that Mills siphoned off millions of dollars intended for investors, manipulated corporate governance agreements, and failed to deliver on promised equity stakes. The lawsuit comes at a time when the crypto industry is striving to regain investor trust following years of scandals, mismanagement, and the fallout from the 2022–2023 bear market.
A deeper look into the allegations
Filed on May 14 in an Illinois district court, the plaintiffs allege that Mills, acting as the founder and CEO of Satoshi Labs LLC (previously named Proof of Work Labs LLC), moved substantial funds—including more than $3 million from a Bitcoin mining operation—into his personal holding company without notifying or compensating his partners.
The complaint centers on two interconnected ventures: the Hashling NFT project, initially launched on Solana and later expanded to Bitcoin Ordinals, and a mining operation tied to the same entity. Plaintiffs claim they collectively raised $1.46 million from NFT sales across both blockchains but received none of the expected returns. Instead, they allege that Mills redirected proceeds and ownership rights into his own company, leaving contributors with virtually nothing.
According to the lawsuit, Mills created a shareholder agreement giving himself a 67% equity share and 67% of the voting power within the company. Other contributors, despite providing capital and operational support, received no more than 2% equity each. The plaintiffs argue this agreement was riddled with errors and retroactively adjusted to suit Mills’ interests, including the renaming of the company and obfuscating asset ownership.

The lawsuit details the origins of the Hashling NFT project, which began as a collaborative effort between Mills and one of the plaintiffs, Dustin Steerman. Their early work built the foundation for what would become Hashling—a generative NFT collection with a community-driven angle and plans for integration with Bitcoin mining revenue.
Despite Mills’ admission of having limited knowledge of NFTs, he was described as enthusiastic and persuasive, encouraging other partners to join the venture. As the project expanded, several new investors came on board, contributing both capital and operational involvement—from creating NFT artwork and managing community growth to representing the brand at major NFT conferences in New York.
In an effort to establish legitimacy, the team relied on informal trust and verbal commitments, assuming that equity and profits would be shared fairly. The plaintiffs now assert that Mills used this trust to consolidate power, taking control of the project’s finances and intellectual property while ceasing all meaningful communication.

One of the most damning aspects of the lawsuit is the claim that Mills manufactured a flawed shareholder agreement after the fact, using it to claim unilateral control over all project assets. This document, according to the plaintiffs, was not only factually incorrect but legally inconsistent with earlier verbal and written agreements. Despite rebranding the original entity to Satoshi Labs LLC, Mills allegedly assured investors that their equity stakes would remain untouched—a promise the plaintiffs say was never honored.
In a further twist, the plaintiffs claim Mills involved his girlfriend in the fundraising efforts for the Hashling NFTs, yet also failed to account for her funds or returns. This point is being used to highlight a broader pattern of financial mismanagement and lack of transparency.
As part of the legal proceedings, the plaintiffs are not only seeking restitution and damages but are also requesting the court establish a constructive trust over all assets associated with the project. This would give the court authority to manage those assets and ensure fair distribution among rightful stakeholders.
