The company has filed with the U.S. Securities and Exchange Commission (SEC) to list its Class A common stock on the Nasdaq Global Select Market under the ticker GEMI, signaling one of the most high-profile cryptocurrency IPOs of 2025.

Founded in 2014, Gemini has built a reputation as a fully regulated crypto platform, offering spot trading, institutional-grade custody services, and a range of blockchain-based products. These include the Gemini Dollar (GUSD), a U.S. dollar-backed stablecoin, and a crypto rewards credit card. With its IPO, the firm aims to position itself as a central player in the evolving crypto finance landscape.

A Nasdaq Debut With a Controlled Structure

The listing will be led by a syndicate of major investment banks, including Goldman Sachs, Morgan Stanley, and Citigroup, reflecting strong Wall Street interest in bringing established crypto companies to public markets. Pricing details remain undisclosed, but the offering will feature a dual-class share structure:

  • Class A shares will carry one vote per share.
  • Class B shares, held entirely by the Winklevoss twins, will carry ten votes each, giving them majority voting control and qualifying Gemini as a “controlled company” under Nasdaq rules.

This governance approach mirrors that of several major tech IPOs, ensuring that the founders retain strategic direction even after the public listing.

Financial Reality: Expanding Losses

Despite its prominent market presence, Gemini’s SEC filing reveals steepening financial losses. In 2024, the company generated $142.2 million in revenue but posted a net loss of $158.5 million. The situation worsened in the first half of 2025, with revenue dropping to $67.9 million and losses swelling to $282.5 million.

Cash reserves have also contracted sharply, falling from $341.5 million at the end of 2024 to $161.9 million by mid-2025. This decline reflects both operational expenses and the costs of maintaining compliance in a highly regulated industry. While the company frames the IPO as a growth opportunity, it will also serve as a critical liquidity event to stabilize its balance sheet.

Political Backdrop: Pro-Crypto Climate

The timing of Gemini’s Nasdaq debut is no coincidence. The Trump administration’s pro-crypto policy stance has shifted the regulatory environment, opening the door for more U.S.-based digital asset companies to access capital markets. Both Cameron and Tyler Winklevoss have been vocal supporters of pro-crypto political action committees, aligning their corporate strategy with a friendlier legislative landscape.

This environment has already spurred other major IPOs in the sector. In June, stablecoin issuer Circle Internet Group raised $1.1 billion in a blockbuster listing, closing its first trading day up 167% from its $31 issue price. Similarly, crypto exchange Bullish staged an explosive debut, with shares climbing over 83% on the first day and briefly more than tripling from their IPO price before settling lower.

Strategic Implications for Gemini

For Gemini, the IPO represents more than just a capital raise. Listing on Nasdaq could enhance the exchange’s credibility with institutional investors, expand its customer base, and provide the financial flexibility to scale its operations. The platform faces stiff competition from both centralized and decentralized exchanges, making differentiation critical.

Gemini’s regulated status could be a key advantage. By emphasizing compliance and security, the company can appeal to risk-averse institutions that may be hesitant to engage with less transparent platforms. Furthermore, the Gemini Dollar and other on-platform products provide avenues for expanding revenue streams beyond trading fees.

The exchange’s declining revenue trend underscores the competitive pressures in the crypto market, where fee compression and shifting trading volumes can rapidly impact profitability.
